AN APPRAISAL OF THE VEIL DOCTRINE OF COMPANY LAW

ABSTRACT
The power of a court to lift the veil of incorporation is premised on the consequence of recognizing the separate personality of a company distinct from those of its directors and shareholders. The court will therefore be minded to look through legal formalities and decipher who the natural persons are behind any civil or criminal misconducts of a corporate entity, in order to visit on them the consequences of acts carried out by them.
The essential purpose of the doctrine of piercing the corporate veil is to prevent an independent corporation from being used to defeat the ends of justice, to perpetuate a fraud, to accomplish crime, or otherwise evade the law.
The research piece starts with the preliminary chapter which relies on legal history to trace the development of company law and touches on the characteristic features of a company as artificial persons, among other prefatory topics. The second chapter examines the consequences of corporate personhood, and analyses the special powers and responsibilities arising from incorporation. The third chapter examines some dimensions under which the veil could be lifted, namely under common law, Nigerian case law, and under the Companies and Allied Matters Act. The fourth chapter examines the theories and models that underpin the corporation as real and autonomous legal entities. The concluding chapter summarizes the research piece with relevant recommendations and proposals for reform.
