Crime / How Foreign Equity Firms Trick Nigerian Entrepreneurs by Erib2: 4:05pm On Oct 03, 2020
How Foreign Equity Firms Trick Nigerian Entrepreneurs

The difficulties Nigerian entrepreneurs endure in the hands of foreign private equity firms and venture capitalists have been blamed on the clever tricks deployed by investors.

Sources on the Nigerian business landscape disclosed that the tricks used by equity partners easily deceive Nigerian business founders into their embrace and eventual takeover of such businesses from founders.

A source familiar with relationships between foreign equity firms and Nigerian businesses revealed that private equity companies are adept at using tax avoidance entities, registering their investment vehicles in places such as Mauritius.

The source also explained that the equity firms insist on the initial investments being in tranches, so as to enable them to scoop shares at much lower value via rights issue.

Another business source explained that foreign equity firms deliberately concede to having a Nigerian founder as Chief Executive Officer for a few years, during which they milk the reputation, goodwill and connections of the founder as a prelude to his/her eviction from the business or being rendered a peripheral figure (such as chairman).

Health Plus CEO, a Nigerian entrepreneur in a face off with the foreign equity firm

“Once they fully grasp the business model and have acquired sufficient nous on the business landscape, they would quickly remove the founder and take control of the Board and Management,” said the source.

After gaining control of the Board and Management, he stated, foreign equity partners tend to borrow locally against the company’s cash flow, taking advantage of subsidized funds, like intervention funds, to drive growth before selling at a premium to the highest bidder.

In recent times, Nigerian businesses such as fast food chain, Chicken Republic; travel firm, Wakanow; pathology laboratory, Pathcare (now Synlab), telecoms concern, Starcomms; FilmHouse/Imax and pharma retail chain, HealthPlus; have seen equity partners dueling with the founders for ownership.

The issue has become one of huge concern in the business and investment circuit. Last week, Nigerian business owners, under the umbrella of the Business Founders Coalition, called the attention of the Federal Government to the plight of local business founders. The coalition, at a press conference held in Lagos, said: “Our experiences have largely been ‘tales of woes’ which have the possibility of stunting the growth of indigenous businesses like ours. We are also hoping that through this coalition, the government can enact policies and laws that will correct that apparent lop-sidedness.”

HEALTHPLUS SAGA: “EQUITY FIRM LACKS POWER TO REMOVE CEO”

Lawyers to HealthPlus have stated that Alta Semper Capital, a British foreign private equity firm (PEF), lacks the power to remove the CEO.

Lawyers to HealthPlus, the pharmaceutical retail firm at the centre of a running hostile takeover drama, said that Alta Semper Capital, a British foreign private equity firm (PEF), lacks the power to remove Olubukunola George as Chief Executive Officer (CEO) and founder of the company.

The lawyers made their position known in a letter addressed to the equity firm on its announcement, on Saturday, that it had terminated the appointment of George and appointed Chidi Okoro as Chief Transformation Officer (CFO).

The solicitors, AO Muoka & Co, said the action of the PEF is a flagrant disregard for the court as George had, in May, 2020, instituted a suit with number- FHC/L/CS/609/2020 – in which she has pending a motion for interlocutory Injunction seeking to restrain Alta Semper from removing her from office among other things.

EZE WARNS PROMINENT POLITICIAN OVER RIVERS APC CRISIS

An All Progressive Congress Party APC chieftain, Eze Chukwuemeka Eze has called out a top politician, Senator Magnus Abe over the lingering APC Rivers Crisis.

Chief Eze said Abe and his cohorts should be held responsible for the chain of crises that have rocked the APC in Rivers State in recent years.

Said Eze: “It is on record how Abe and his group have frustrated and ensured that all the efforts by the National Body of APC to organize a peaceful Congresses are frustrated. For reasons only known to him, he refused to go back to the Senate with hope of taking up the position of the Deputy Senate President which was zoned to the South-South just to ensure that the PDP continues to hold sway in the State. What type of party man will be so mean to his party if he is not a tool in the hands of those who feel threatened by the rising political profile of Chibuike Amaechi.

“Today, in the eyes of the public, APC in Rivers State is in the cooler just because a man vowed that unless the gubernatorial ticket is handed to him there will be no APC in the state and sadly, instead of sanctioning such character, he is motivated and encouraged with a Board appointment with the NNPC for being so wicked and inhumane. It is indeed unbelievable and unfortunate.

“He further stated that more shocking is the fact that some APC members who are well versed to these facts are on daily basis blaming the Minster and leader for their woes instead of holding responsible the man who has kept us all in this mess.

MESSI AND RONALDO: PAUL SCHOLES DECLARES WHO IS BETTER

Messi and Ronaldo controversy has forced legendary footballer, Paul Scholes to declare his choice on who is the better football player.

The 45-year-old Manchester United legend who shared the pitch with both Messi and Ronaldo also played alongside Ronaldo during the superstar’s brilliant six years at the Old Trafford.

However, the former England international rates Barcelona captain Lionel Messi above Christiano Ronaldo and many other football greats like Eric Cantona, Zinedine Zidane, Andrea Pirlo and Xavi.

Scholes said Messi is better that many other great footballers of the era. “I think about the great players with whom I have shared a pitch: Eric Cantona, Zinedine Zidane, Pirlo, Xavi, Cristiano Ronaldo and the greatest of them all is Messi,” Scholes wrote.

Scholes, who is regarded as one of the best midfielders of all time, played four times against Messi in his brilliant career. He spent his entire professional playing career with Manchester United, for whom he scored over 150 goals in more than 700 appearances between 1993 and 2013.

STUDENTS TO WIN N6M, AS UBA FOUNDATION BEGINS 10TH ANNUAL COMPETITION

UBA Foundation, today commenced the 2020 edition of its annual National Essay Competition in Nigeria with a call for entries.

Now in its tenth year, the National Essay Competition (NEC) is part of UBA Foundation’s education initiative which is aimed at promoting the reading culture and encouraging healthy and intellectual competition amongst secondary school students in Nigeria and across Africa.

This year’s edition, which is the 10th since inception, has been modified to ensure ease of access and increased participation of senior secondary school students from the comfort of their homes through the introduction of a digital submission portal.

Taking into consideration the effects the Covid-19 pandemic has had on lives and incomes across board, the UBA Foundation has also increased the prize money for the 2020 edition of the NEC by 33 per cent as the first prize winner will get an educational grant of N2.5m, up from N2m in 2019. The second and third prize winners will now receive N2m and N1.5m educational grants respectively, from N1.5m and N1m which were awarded in the previous year’s competition.

The Chief Executive Officer, UBA Foundation, Mrs. Bola Atta stated that with the newly introduced digital submission portal, more students in secondary schools across the country will have the opportunity to scan and send in their entries and compete to win educational grants for study at any university of their choice on the African continent.

She said, “As a Foundation, which is the CSR arm of the United Bank for Africa – a fully digitalised bank, we are driven by the mantra to always innovate and adapt to our constantly changing environment. This year, we thought hard about how to ease the pains that everyone is feeling. Students have not been able to go to school and there has been a lot of anxiety in families trying to ensure that educational gaps do not emerge. It is imperative for us at the UBA Foundation that our impact programmes do not wane. We also need to design them to be as inclusive as possible so that those students who don’t have easy access to computers can still participate in the competition with a chance to win grants towards their tertiary edification.’

Crime / Pensions: Court Says Retirees Above 60 Entitled To 50% Lump Sum by Erib2: 9:51am On Sep 02, 2020
PENSIONS: COURT SAYS RETIREES ABOVE 60 ENTITLED TO 50% LUMP SUM, WARNS PENSIONS COMPANIES

…Court declares paying 25 percent lump sum payment to retiree above 50yrs by Pensions Administrator illegal.

Justice Oyebiola Oyewumi of National Industrial Court, Abuja has said retiree Mr Maroof Giwa is entitled to at least 50% pensions lump sum.

The Court said this is considering his age which is above 60 years, and the life expectancy of a male Nigerian as projected by WHO, and therefore ordered Arm Pension Managers to pay within 14 days.

The Court held that 25% lump sum calculated by the Arm Pension Managers as claimant’s pension is unlawful that the said withdrawal as clearly stated in the Pension Reform Act is in respect of a retiree who voluntarily retired at age 50 and not applicable to Maroof.

From facts, the claimant- Maroof Giwa had submitted that he approached Arm Pension Managers to apply for pension and withdrawal benefits but the PFA offered to pay 25% of his total retirement savings which he rejected and demanded 50% of the total sum.

The claimant claimed that the computation of the lump sum/benefits by the defendant done on the basis 25% not known to the law that he cannot be treated like a retiree who retired voluntarily that he’s 60 years and above and would want to withdraw 50% or 75% of his total pension.

The popular Lagos based prophet who had hitherto prophesied that Tinubu will be betrayed by the Presidency further noted that Nigeria’s President, Muhammadu Buhari won’t give enough support for the APC National leader in realization of his presidential ambition.
