Amidst controversial N140 billion purchase, NNPC halts takeover of OVH

The Nigerian National Petroleum Company Limited (NNPC Ltd) has said it is unable to complete the acquisition of OVH Energy Marketing Limitedā€˜s downstream assets.

The declaration is contained in a letter dated 17 January, addressed to the chief executive of the Nigerian Midstream and Downstream Petroleum Regulatory Authority (NMDPRA) and signed by the managing director of NNPC Retail Limited, Huub Stokman.

The letter is titled, ā€˜Notification of inability to complete OVH Energy Marketing Limited terminal, plants and depot takeover and intent to apply for operating licensesā€™.

The NNPC Ltd had in its latest financial statements said it paid cash amounting to $325.09 million (N140.559 billion) for the acquisition of Oando-branded retail stations and a reception jetty in Apapa, among other facilities.

However, in its letter, the NNPC Ltd said it has become evident that it cannot complete the merger deal.

The company said it intends to apply for operating licenses for the facilities under OVH Energy Marketing Limited.

ā€œWe appreciate the ongoing collaboration and support from the National Midstream and Downstream Petroleum Regulatory Authority (NMDPRA) in facilitating the acquisition of OVH Energy Marketing Limited.

Background

The NNPC Ltd had in October 2022, announced the acquisition of OVH Energy Marketing Limitedā€™s downstream assets. By this acquisition, OVH Energy would be merged with NNPC Retail, a subsidiary of NNPC Ltd.

The assets acquired from the company, which operates Oando filling stations, also include a reception jetty with 240,000 metric tonnes monthly capacity and eight liquefied petroleum gas plants, three lube blending plants, three aviation depots, and 12 warehouses.

But in June 2023, PREMIUM TIMESā€™ investigation on the acquisition exposed the secret deals and the complicated ownership structure that left managerial control of NNPC Retail in the hands of OVH Energy Marketing.

The report also exposed how OVH Energy Marketing only had about 94 stations and how over 100 stations were leased.

In addition, the report highlighted how Mr Stokman, an expatriate and former Chief Executive Officer of OVH Energy, emerged as the new Managing Director of NNPC Retail, a development that further compounded the structure of NNPC Retail.

Whether Japaul goes to N1 in the short term doesn't move me... I'm in it for its potentials... willing to wait ... if all turns out right I'll be mining gold from Japaul shares... it's worth the risk when the potentials are huge... not financial advice

Looks like money no too dey. Or people are risk averse and would settle for bonds instead of stocks. Or people are worried of the economy. Or investors want to be sure numbers are steadily improving and not one-off good results trap.

I think the CBN needs to thread slowly with this recapitalization while the government creates more conducive environment for businesses that exploit comparative advantages like oil palm, rice growing, gas production and distribution, power generation and distribution etc.

Incase you're wondering why OandO is rising like dough with excess yeast, the ENI deal is set to be consumated this quarter according to Mr A. Irune Oandoā€™s Chief Operating Officer... grin

I'm not a fan of lenghty reports but I will try and summarize.

Let me refer you to page 12 of the Annual Report, you'll find this paragraph:

"OML 56, OML 13 and OML 60-63 are currently the crude oil and
gas producing assets while Oando PLC engages in supply and
trading of crude, refined and unrefined petroleum products.
These entities account for 100% of Group revenue recognized
being N1,994 billion for the year ended 31 December 2022 (2021:
N804.8 billion)."


That's a revenue increase of 148%

Recall that in September, 2023, OandO Energy Resources (OER) bought 100% of ENI's interest in Nigeria Agip Oil Company.
This transaction does several things:
1. It DOUBLES OER stake in OML 60-63 (formerly 20%, now 40%). OML 60-63 are the few OER assets that are currently in PRODUCTION stage.
2. Oandoā€™s total reserves (based on 2021 reserves estimates) stand at 503.3MMboe and the transaction will deliver a 98% increase.
3. It grows Oandoā€™s exploration asset portfolio through the acquisition of a 90% interest in OPL 282 and 48% interest in OPL 135.

I strongly believe that 2023 FY will be better... grin

Actually GTCO has a long and enviable track record while Japaul doesn't.
Likewise, GTCO has a definite and realistic target(s) while Japaul has proposals and projections plus hopeville prayers.

I personally believe that GTCO doesn't look 'attractive' compared to other FUGAZ because the 'key men' don't have strong affiliation with the powers that be... wink

The issue is not even the tarrif increase at this point, because that's very likely in the pipeline, rather it should be how to restore investors' confidence in Nigerian telecoms sector. All this NCC "Oga-ism" is only shouting at investors: the government has this sector in its grip, just like most other sectors. One of the few sectors that is doing well, contributing over 15% of GDP is now reporting a 70% drop in FDI in 2023. What we need is a system that reviews tarrifs periodically, in a cost-reflective manner having representation/inputs from consumers, operators, regulators and government.
