Advice This Hausa Boy Investor Approach Terms

I knew this Boy few Years ago when he was at JSS3 and he had passion for computer. Under watch and mentoring the Boy gave himself to self development in learning PHP/MySQL/JQuery/CSS etc. After his SSCE had much time to study and also save money to buy himself a laptop, since then he been much productive in his learning.

Having gain ground on the programming (not master though), he venture into creating a social Network from scratch and he was successful in doing. The Work on SN being in development; Testing, Adding feature, he was approach by investor who had interest in the work.

As a beginner what is he expected to say or do, in the first place he disagree in selling it, so on what terms and agreement will you suggest.
