(Lagos, Nigeria) – Oando PLC (“Oando” or the “Group”), Nigeria’s leading indigenous energy group, listed on both the Nigerian and Johannesburg Stock Exchange, has announced a $210 million recapitalization of its downstream operations by HV Investments II B.V., (“HVI”), a joint venture owned by Helios Investment Partners (“Helios”), a premier Africa-focused private investment firm and the Vitol Group (“Vitol”), the world’s largest independent trader of energy commodities (together, the “Consortium”).

As a result of this and further to the announcement on June 30, 2015, a new company will be formed to hold interests in Oando Marketing Limited, Oando Supply & Trading Limited, Apapa SPM Limited, and Oando Trippmart Limited. Oando PLC will retain 49% shareholding in the newly formed corporate vehicle, with the Consortium owning 49%, and the residual 2% owned by a local entity.

Commenting on the transaction, Oando PLC’s Group Chief Executive, Wale Tinubu, said: “Despite global economic headwinds, we have taken the proactive approach to establish a strategic partnership which will leverage Oando’s sector dominance, considerable local knowledge and expertise; together with HVI’s international, and technical capabilities. This partnership will reinvigorate Nigeria’s downstream sector and create one of Africa’s largest downstream operations. We are extremely confident in the success and potential returns this alliance will deliver.”

The new company will be renamed OVH Energy (“OVH”) to reflect its ownership structure and the commitment of its new shareholders. OVH will be led by a local management team, tasked with building the business, safely and efficiently. Under the new business structure, the initial Board will consist of Mr. Wale Tinubu, Group Chief Executive of Oando Plc., as the Chairman, Mr. Christian Chammas, CEO of Vivo Energy, operating 1600 service stations across 16 African countries and other Vitol and Helios representatives. The current CEO, Mr. Yomi Awobokun, will continue in his role. The service stations will retain the Oando brand.

OVH’s assets will comprise over 350 service stations in Nigeria with supporting infrastructure, including 84,000 tonnes of storage and a newly built inbound logistics jetty; as well as complementary businesses, chiefly LPG filling and distribution, lubricants and an interest in a supply and bulk distribution company in Ghana. The new business will be the second largest downstream fuels company in Nigeria, with a market share of 12 per cent.

Co-founder and managing partner of Helios Investment Partners, Tope Lawani noted his firm’s track record of creating successful businesses: “We look forward to leveraging Helios’ expertise in support of OVH’s management team, and to building another partnership with Vitol, with whom we created Vivo Energy, a leading pan-African downstream business.”

On his part, President and CEO, Vitol, Ian Taylor said: “This investment underlines our commitment to Nigeria. We are proud to have served our Nigerian customers for many years and we look forward to being actively involved in building this new company, alongside our existing ventures.”

The advent of the use of debit cards only solved the problem of cash handling and has created yet another overlooked problem which is the possibility of moving around with all you are worth financially. One way around this is not to stop boarding commercial buses as you will at some point need them especially if you are not yet mobile. However, even vehicle owners are not exempt from this menace.

One simple way to avoid this is to own multiple accounts and ensure you don't have SMS alert or debit cards for those accounts except one of them. (thankfully there is no law yet on owning multiple accounts). Also you need to have a separate mobile phone where you can domicile the banks mobile app for transfers etc on this mobile phone which is not to be carried around too.

You should use that separate account as your daily running account with alert and all. When you need more cash for your daily need or business, use quickteller or your bank's mobile app to transfer as much as you need into the daily running account.

This will help as well so that if in an eventuality you don't provoke the miscreants that you don't own or operate with a debit card. By the way what's the use of money in your bank account if you end your life by refusing to cooperate.

To start with,
1. You do not have sufficient evidence to pursue this case any further.
2. You might be gambling with the following if you continue: your continued peaceful stay, her relationship wIth her husband will no more be normal but filled with suspicion afterwards, even your integrity will no more be vouched for and finally assuming she cleared after the whole episode to be innocent you might be a lifelong enemy to her, or her immediate. family and by extension her relations.

That being said, you can attempt the following to validate or get your facts right:

1. See if you can get that phone number or try to snap the screen of her phone with the number and message.
2. Use these methods to ascertain the identity of its owner

i: Truecaller app could throw up the names of the owner of the line or if not next step
ii.. Facebook: search out the number it could turn up the names of the owner, that is if he registered his number on Facebook.. Or
iii.. Enter the name as a contact on your phone and see if he's got a profile picture up on his whatsapp and do a screen shot of this if need be for evidence purpose.. Or
iv.. Download an alternate whatsapp on your phone. Its called G8 whatsapp its used when you want a second whatsapp app on your mobile for another line.. Activate the app with another line and open conversation with the number and you make friends anonymously or with a phony identity just to confirm your facts.

Assuming you find out she is innocent then case closed and everyone is happy without any casualty.. But if not, you will now start on the part of recovery of the bad situation which may already be going worse.

1. Keep intact all your evidence as this individual may not be the only person she is going out with, that means no direct confrontation or else she will either drive the relationship deeper down from any trace or prying eyes, change the person or perhaps become vindictive which case she can become subtle and vernormous.
2. Engage her anonymously from your alternate whatsapp and start by appealing to her conscience, then gradually increase the tempo by threatening to exposure her if she refuse to desist.. All this time telling her you know her every move and make her admit to your accusations save her admittance and use as more evidence and make her confess more by threatening to reveal all you already know to her husband and family members of she proves difficult. Of she is repentant and if she is a truce practising Christian there is a next thing to do.. If otherwise then

2. Expose her anonymously without being in the picture to her people first and see how things go and of they handle it well you will see improvement in her behaviour or else to her husband and I repeat don't be in the picture.

This is not to say we ourselves are saints but this is how to preserve our society at least for our children coming up to have a world to live in.

In such situation, time is of the essence and every second counts!

Your first call is to initiate actions to bring the car to a stop whilst you notify your other road users with the emergency lights afterwards.

Most important thing to do when a car's brakes fail is not when it actually fails. Consciously simulate a scenario in your car today and assume it has happened and take the steps. If it ever happens, you would be better prepared to try all these remarkably.

In other ways do not attempt head on collision to bring the vehicle to stop but glide the sides of the vehicle against an obstacle to minimize impact.

Could gene editing spell the end of heart disease, inherited high cholesterol and diabetes? Qiurong Ding, Professor at the Laboratory of Human Genetics and Metabolic Diseases at the Institute for Nutritional Sciences in Shanghai, China, uses stem cells to study new ways of curing life-threatening illnesses. She talked to us about the promise and ethics of gene therapy for our XxXX series of interviews with ten pioneering female scientists.

What do you do?

We use stem cells to model human disease, focusing on metabolic diseases such as type 2 diabetes, heart disease, severe obesity and inherited high cholesterol. This allows us to better understand and eventually cure these conditions.

We also use gene therapy to treat high cholesterol in mice. Scientists have discovered a gene mutation that allows some people to consume high levels of fat and sugar without it affecting their cholesterol levels or raising the risk of a heart attack. We are trying to find out whether this gene might be introduced into normal people to improve their health.

Why is your stem cell model better than conventional animal testing?

We needed a model that could mimic what was happening to a human patient. Mice and even monkeys are very different from humans. Some of our genetic mutations can't really be found in animals. Because stem cells proliferate and can turn into many different types of somatic cells, they allow us to study many different diseases and test different drugs.

Also, researchers have been accumulating more and more human genetic data. It's easy to sequence a genome now, and we have a lot of data, but we can't always interpret it. So my main focus is on doing basic research and interpreting this genetic data. Why does disease happen? How do genetic variants contribute to disease? That's what we want to understand

How does the model work?

Heart disease and high cholesterol are associated with certain gene mutations. We introduce these gene mutations into human pluripotent stem cells, which are master cells that can produce every other kind of cell in the body, such as neurons or liver cells. The stem cells are either taken from human blastocysts - the term for a very early stage embryo, not yet attached to the wall of the womb - with consent from the donor, or reprogrammed from somatic cells, a different kind of cell which includes blood cells. We can then study these mutations and different ways of treating them outside of the body, for example in petri dishes.

You said your second project uses gene therapy to lower the cholesterol levels of mice. How do you do that?

We use CRISPR, which is a precise genome editing tool. About ten years ago, scientists found a group of people in Texas who were very healthy despite living on a high-fat, high-sugar diet. They had very low cholesterol, and a low risk of heart attack, even though they ate a lot of hamburgers. This was due to a genetic mutation. The mutation alone gave them a 30-40% lower cholesterol level compared to the rest of the population.

The question is whether we can introduce this mutation into normal people. Two years ago, we used the CRISPR material to introduce the mutation into liver cells in mice, via a virus. We also "humanised" the mouse by repopulating its liver with human liver cells, so it was a mouse with a human liver. With this mouse, we are able to test the efficacy of our approach to lower cholesterol in the human liver, but inside a mouse body. Just a single shot of the mutant gene led to a 40% decrease in cholesterol, which was very dramatic and exciting.

When might we see this therapy being used in humans?

That's hard to say. We still have a long way to go, because we need to think about safety. Genome editing is powerful and permanent - once the genetic information has been changed, that's it. The advantage is that you only need to change it once, it's not like a conventional treatment where you then have to take drugs on a regular basis. But it also means you need to be very careful, because if you change something you didn't want to change, the consequences can be severe. You can't allow any side effects to happen.

There have been clinical trials by other scientists using genome editing to fight HIV, so that's very promising.

When you cure a disease through gene therapy, do the patient's children inherit the improved genes?

No, because we work with somatic cells - liver cells and muscle cells rather than sperm or eggs - meaning the genetic information is not passed on.

Some opponents of gene editing and gene therapy believe that it is unethical to modify our genes. How do you feel about that?

I'm OK working with somatic cells - liver or muscle cells. We could potentially cure a lot of diseases. I'm more hesitant about sperm and eggs. There's the term "designer babies". For example, I have dark eyes and dark hair, but if I wanted a baby with green eyes, I could edit the genes and achieve that. But I think that would go too far. We have very clear ethical guidelines. In terms of genetically modifying human embryos, if a person has inherited severe genetic defects, if we can crack a mutation and it means the baby will be healthy, that means such research is being used for good.

In the future, will we be able to completely eliminate disease?

In theory, I think so. I cannot think of any reason why we couldn't do that. Of course some diseases are caused by lifestyle, but those can be prevented. As for genetic diseases, that's the goal we ultimately want to achieve - to eliminate them.


As a successful female scientist, what do you think we can do to encourage more women to enter the STEM fields?

I'm not sure I'm successful! I'm lucky, I've had very nice advisors, I've learned a lot from them, and I'm in a popular field. There are actually a lot of women in biology, compared to physics, chemistry and maths. In my lab, there are more female than male researchers. We study really fun questions, and we get to work with scientists, patients, mice - it's livelier than just working with equations. That makes it an attractive field.

I guess you would have preferred she chose you, and that'll make you happy, right?. But think again she was being sincere. You would have helped her by allowing her some time to clear the cobwebs off her mind and go for her heart. If you ask me you just dumped a sincere lady who took the risk of opening her heart to you, a good virtue you could have benefited from tomorrow assuming she finally settled for you. My thoughts anyway!
