Politics / On Negligence by freshwaters: 7:48am On Mar 10, 2021
Did you know that an act of negligence is actionable in court?
Yes, it is. In law, negligence is categorized as a tort (i.e. a legal wrong suffered by a person because of a failure of another). Put simply, negligence is a failure to act with the reasonable level of care expected of a person of similar prudence and under the same circumstances
In law, the term is more elaborate than in its normal everyday parlance and the following elements must exist:
- There must be a duty owed to a party by another
- There must have been a breach of that duty
- There must be an injury or discernable suffering occasioned to the party
- The injury or suffering must be a consequence of the breach
Some notable examples are car accidents, medical malpractice cases, slip and falls etc...

Business / Effect Of Arbitral Awards by freshwaters: 7:32am On Mar 05, 2021
Arbitral awards are the final decision of the arbitral tribunal. Court are enjoined by law to, as much as possible, uphold, affirm and enforce them especially considering that parties voluntarily agreed to the arbitration.
By Section 29 and 30 of the Arbitration and Conciliation Act, Arbitral awards can be set aside on the following grounds:
a) Where the award is beyond the scope of the reference
b) Where the proceedings or the award have been improperly procured. E.g. Fraudulent practices, concealing evidence... etc.
c) Where the arbitrators misconducted themselves
d) Where there is an error of law on the face of the award

We hope these succinct but salient points provide more insight for you into arbitral proceedings.

Business / Can A Valid Contract Be Invalidated? by freshwaters: 7:58am On Feb 26, 2021
As general rule, contracts entered into by parties are valid and binding on them. However, there are some exceptional circumstances where such contracts will be invalidated and nullified. Such instances include but are not limited to:
Misrepresentation: Did any party act on a false or misleading representation?
Undue influence: Was any party taken advantage of?
Duress: Was there force or coercion against one’s will?
Incapacity: Did both parties have the requisite capacity to contract?
Illegality: Are the agreements illegal?
Frustration: Are there unanticipated factors stalling performance?
Contracting parties should be wary of the above and ensure that their contract voluntarily entered into, reflect their true intentions and concessions.

Business / Focus, A Centered Vision by freshwaters: 7:55am On Feb 08, 2021
Winston Churchill once said that ‘you will never reach your destination, if you don't stop to throw stones at every dog that barks’. This statement resonates very deeply with me as I begin my sojourn into the new week. Everything worthwhile was achieved by reason of a persistent focus on the course ahead amidst all distractions.
Pick your distractions wisely. Some are genuine, urgent and as a such, permissible while others only appear to be at first but really are not and should not be allowed to deter you.
We hope you find encouragement for this week to be intentionally focused on the things you have set out to achieve and to ensure that distractions, however legitimate do not stall you from meeting your goals.
We wish you a productive week ahead,
From all of us at the Business Legal.

For the comments leading people to Christ isn’t an offense neither is it affecting anyone.

I urge Mr Segun to quickly look into this. Preaching Gods words is no offense and shouldn’t cause him to be banned. If he committed any offense or breached any rule please let us know, else kindly unban him immediately

Politics / #how A Nairalander's Foundation Released A Guy Locked Up By SARS For 11months by freshwaters: 9:34pm On Oct 11, 2020
Many of us have had ugly experiences about SARS.

I will tell mine briefly, as a lawyer and a Nigerian, committed through touching lives through our foundation, www.breathoffreedom.com.ng.

What happened?

I went to court one day for a matter in my office, aside my foundation, I also work for an SAN, and I've been working there since I was called to bar in 2016.

While in court, they called up a matter, the defendant appeared, a young man about 19 to 20 years of age. The judge asked what his offence was and they said he stole phone. The judge asked him, he said he hasn't really understood why he's been brought to court or detained for the 10months he's been held in SARS, office Abuja. That he didn't steal any phone.

The judge was surprised to here the young guy has been held in SARS for over ten months without trial, so he asked the prosecutor and he started stammering, saying he doesn't know that he just got hold of the file. The judge was very furious and asked how they could hold him that long.

At this point, I picked interest in the matter and announced appearance for the young man. I requested from the judge the opportunity to approach the dock, and my application was granted, so I approached the young man to get further details as to what really happened. I also whispered to him to tell me the truth if indeed he stole the phone, (it is important one tells his lawyer the truth always) as I told him that if he lies and it's eventually discovered the evidence against him might be so overwhelming, there is nothing we can do to help him. He swore he didn't steal any phone.

So once I was convinced, I told the judge I have consulted my client and would want to stand appearance for him in full. I also informed the judge about our foundation, Breath of Freedom Foundation, www.breathoffreedom.com.ng of which I'm the chairman of the board.

The judge was happy that I took to represent the guy. I told the judge I will need time to study the file and see what they have come up against him before proceeding. I pleaded for the young man's bail, which the judge was ready to grant, but then he didn't have a surety.

Interestingly, to make the matter worse for the guy, they had filed all manner of charges against him, including armed robbery, theft etc so all that made it difficult to even get bail for him. But i was ready to fight it to the end, so upon further pressure, the judge ordered that he be taken back to SARS temporarily but be immediately released once he gets someone that can stand in for him. My Lord told us to facilitate the release, which we agreed.

The matter was adjourned to a later date.

We followed the matter up immediately, first starting from the prosecutor and eventually to the SARS officials. You know, once a matter is in court, ordinarily, the police hands off the matter, but in this situation, the young man hasnt taken his please and so the court cant assume jurisdiction over the matter, so it couldnt go to prison, so they took him back to SARs.

We went on the order of the court for an admistrative bail to be granted on the young man, but severally, SARs officials refused. We kept on pushing back, but they refused and insisted on keeping the guy.

What did we do? We pushed for the matter to be heard again and insisted on getting a closer date so the court can grant our prayer for the release of the young man. This eventually worked and on the sitting, he was granted bail.

Upon that, SARS prosecutor said he was continuing with the matter, in fact that was the end of it because he didn't even have any evidence and the alleged nominal complainant on the matter refused to appear in court to give evidence.

That was how the young man regained his freedom. We are proud to be part of those doing this

I and my foundation, www.breathoffreedom.com.ng which has a team of over 60 lawyers, 34doctors, nurses, pharmacists and counselors have released over 40 detainees from SARS detention. And we have continuously engaged the police to do well and carry out holistic reform.

Today we are happy SARS has been dissolved, but it should end there, we want reform of the police, because these same SARS guys sent into various armed of the police will filtrate and engage in worse brutality in those areas and even teach other police men how to be brutal.

For more on what we do, kindly visit us at www.breathoffreedom.com.ng

You can also follow us on Facebook, Twitter and Instagram

#SARS has been dissolved.

When the people stand together no force can withstand them. One of the biggest problems of Nigeria is lack of one voice, devoid of tribal, and religious sentiments. If we as a people can stand to say no to bad leadership, misrule and failure of government, not minding where the leader comes from or what religion he practices, Nigeria will be great again.

#Next is to demand total reform of the Nigeria Police Force. And insist on a new Crime fighting unit that is intelligence based, humane and in line with international best practices on fighting crime. All the officers to be engaged must be trained on both law and human rights as well as made to undergo drugs and mental test.
Breath of Freedom Foundation.

This is the costing and procedure for CAC Business Name Registrations..

Cost and procedure.

1. First you have to enter AV. Availability to know if the name is available. This is officially N500 but with remital charges it's N663 naira.

2. After the name is approved. You will enter all the details on the CAC Portal. This includes names of the proprietors, their addresses, email address, means of ID number, that's National ID, Driver's Licence or Voter card.

3. Upon completion of No. 3, you will have to make the official Registration payment. This is officially N10,000 but with remittal charges it's an N10,635. After payment the documents will drop for you to print.

4. You will print the documents and the partners will sign. Then you affix the signature and the Passport photos and scan.

5. Then you upload the scanned documents which are

AV. Application Document. ID Cards, Payment Receipt and AV.

6. Then you wait for the Certificate.

Caveat. While you can do this yourself, it's always wise to use a lawyer. Reason being that your application may be queried for not following the process or omitting something or one funny mistake as CAC staff so think. It's frustrating when this happens because you will end up paying more and spending more time.

Also a lawyer knows how best to couch your object so it will suit what you want to use it for and other things to make it work.

A lawyer charges for all the professionalism, and accidental issues that might arise, and all you wait is for your certificate to be delivered to you

Did you know that any company wishing to secure contract in Nigeria must have evidence of compliance Certificates?

ITF, NSITF, PENCOM, BPP and TCC?

For any type of contract, the key requirement is that your company must have complied. These Certificates are renewable yearly. Be ready to get them if you want to use your company for any contract whatsoever.

The good news is that you don't have to worry about how to get them, because we at Business Legal offer this service and we have helped some of our clients secure them. We offer this service conveniently and at most affordable rates.

Lol it's funny.

How will they do it when in practice every lawyer is required to obtain his NBA seal which is prerequisite to filing matters in court. Will they have NNBA seals?.

The person who wrote these letters, if he's to file a case in the court, he will use same NBA seal to attach on it.

And the NBA isn't just anyother association, it's a creation of law.

This divisiveness needs to stop. Young lawyers aren't happy with NBA, it's been a voiceless body but it requires collective efforts to correct it and one of those happened during the election of Olamide Akpata. First none SAN President of NBA

Politics / Purchasing Estate Land, How NOT To Get Scammed. by freshwaters: 10:11am On Jun 20, 2020
1. Request to see the documents.

What title document does the land have? Is it C of O (issued by Federal Capital Territory or State Governor which confers Statutory Right of Occupancy) or is it R of O (issued by Local Govt or Area Council Authority which confers Customary Right of Occupancy) or is it local land, with receipt from the village Chief? Is the title defective? Does it describe the property, does it confer title, and to who? Is the title conferred to the seller, selling to you? What's the purpose, commercial or residential or multi purpose? What is the history of the title up to the seller selling to you? Every land has its title history. Don't just say it's my friend selling to me.

2. Conduct search on the land or property.
This involves check on the land, the owner and the documents. For instance, where the land is owned by a company, you should conduct search at Corporate Affairs Commission to ascertain whether the company truly exists and who are those behind it. You need to also conduct title search at relevant agency, such as AGIS, FHA etc., depending on the title document. Find out whether there are conflicting interests on the land. Investigate the documents the owner has and ought to have, like the Survey plan, Deed of Assignment, Deed of Participation (for estate lands), Contract of Sale, C of O, Governors Consent, R of O, Letter of Allocation, Receipts, Deed of Transfer, Power of Attorney, etc.

3. Involve professionals such as lawyers and estate surveyors. Any land document not prepared and franked by a lawyer is voidable and won't be allowed for processing at the land registry.

4. Visit the land or property.
Part of verification of a property is physical inspection of it. Don't buy fliers and designs. Make sure you visit to see what you are buying. If it's an estate land, make sure your plot is showed to you and take a surveyor with you to see that what's on paper is same with what's down, in size, description and location. If you can't visit the land, have a trusted representative do that for you. Look out for things like the roads, electricity, water, and amenities.

...to be continued!
