That will come after they initiate a mandatory takeover offer (MTO). The details will be stated in the offer document Streetinvestor2: Yes you are right for majority shareholders. I am interested how much they want to buy a unit of minority shareholders and if they are buying them too. Do you know the exact amount and not assumed calculations here for minority shareholders which is not fact.We need a figure tired to single unit in naira and not based on dollars. |

The referenced documents show that they plan to acquire 83.81% of Lafarge for about USD1bn With an OS of 16b, the calculations [of unit price] wasn't far fetched... Streetinvestor2: Thr is no such document yet.It is only a document stating the range they could buy the company. Then individuals stated doing different calculation. No document is showing if the buy out will be whole as per major/ minority holders or partial meaning only major holders. And the most important the amount for each unit. All calculations has been probabilities |

There is a document with detailed breakdown of the deal (timelines inclusive)... Streetinvestor2: I don't know why the company does not want to release information on the deal since last Yr so that we know our stand on the deal.I was expecting news from the q3 meeting by now. Is the deal happening or not. At how much per share Will the deal cover both minority shareholders or not.
We go soon reject the offer like PZ if they come up with rubbish offer with the rubbish they are doing |

Please check the document again. EBITDA of FY 2023 was used to arrive at an enterprise valuation for the company. The debts and cash as at Sept 2024 was also considered. That is why a clause was included to audit Q1-Q3 or FY 24 before the EGM will be called... At the bolded, they are buying a business. It is different from buying a single item off the shelf. (I hope someone can explain better though) robobo: the purchase document shared when the news broke specifically has a condition that stated that value at negotiation (Dec 2023) would be maintained.
so how is value created after 2023 should be there concern.

There is a share purchase agreement in place since 1 December 2024. Invariably, this implies that the incoming owners will have a say in certain matters affecting the company (especially financials)... If you were HUAXIN, you won't really leave HOLCIM to unilaterally decide the DIV payout, would you? robobo: How can new owners want to preserve the cash of a company that they are yet to own, which they negotiated at 2023 value and then because of that want to partake/ share in profit made in 2024 when they are yet to pay/take over?
it is only here that such happenssssss

And now Forex rate is going down, price of the actual buyout may also be affected negatively for investors.

The $215m loan was for the acquisition of Ughelli Power Plant. As at 2022, they had $1.6m outstanding. The "...full and final loan repayment was made January 9, 2024..."This means ALL ForEx income can be used for upgrading the business. They currently have a target of 25% of the energy need of Nigeria (they currently generate 12%)... Xidget: I read somewhere that they paid off $215million acquisition loan. (I don't have link) I guess that's what is getting itvsone attention. |

I do not know which brand you have in this quote but SRNE Li-P batteries of 16kWh, 51.2V, 314AH costs at least ₦4.35m… Anyway, glad you're able to afford one very recently. Mine has been hard at work since 2019... Over and Out starpower: [img][/img]sms 15kw lithium-ion phosphate battery 2.1m currently my 6.2kva hybrid 420k. Using got solar panels 550W 120k 6pcs. 1hp a.c is in eco mode just around 550W each. The electric cooker doesn't run for hours am only one a.c during the day but 2 at night. Been using since September. Got them myself. I use Tubular before just scrapped them. Lithium-ion really going to phase out acid lead batteries very soon. Energy density is far better and cycle life on high depth of discharge. Most times installer just over quotes boiler inverter sizes not needed for people. |

Hello Sir. I politely disagree with these estimates of yours. I have a 7.5kVA PV system so I know what I am saying...except you failed to disclose that you installed your system at least 4-5years ago. A 15kVA PV system in 2025 CANNOT cost less than ₦10m (and I am being modest here)... starpower: it lithium-ion battery really making thing cheaper if naira appreciate more people will understand. I use, electric cooker 1200W each head, microwave on mine and 1hp a.c 2pc but it 15kva battery lithium-ion phosphate truly with panels, inverter and installation. Funny it 3.8m i did all that like $2,500. I am outrightly off grid. People can cut coat according to their size. |
