If he doesn't use a prenup and they divorce, she can get half of his shares and that means that if he has other shareholders he automatically looses his position as the biggest share holder. Also if she joins other shareholders to vote against him on critical decisions like a sale of the company , he has lost the company. Or she can sell the shares to an adversary or other shareholders to make them the biggest shareholder. There is a reason Mark Zuckerberg took Facebook public before getting married. His wedding was literally fixed the next day. Personally I feel prenups are not strong enough in securing assets because it can only secure assets gotten before marriage.
