Hello Everyone,
I want to ask a question,
I'm about to run a project which is capital intensive, i wanted a loan but people wanting to fund my project they want at least 20℅ share of my company.
Truth is I really need to do this project.
But I feel like giving someone 20℅ share of my company is like mortgaging the company.
Please, can someone give me advise if I should accept the deal or not.

Is the loan size worth 20% of the coy? Do you have alternative funding? If you give out 20% equity, u still have 80% which is majority and still call the shot.

For me, I don't see a big deal in giving out 20% ownership if I really need the loan and don't have alternative funding, but make sure the other patner isn't diabolical. You can give your wifey 25% if you are married, in case... grin

I'm feeling giving him 20℅ share can actually earn him 200℅ gain at the end of 2018(that is in worst case scenario). No company can give so much gain or dividend in a short while.
I dunno maybe I'm getting greedy or the man is exploiting me.

Since you have no better deal, its either you need the funding or not.
If his 20% stake earns him 200% returns, will your own 80% give you any less percentage returns ?
Go to church tomorrow and pray against the spirit of greed and dishonesty, lest you be tempted to cook the books to cheat him out of his rightful dividends when the business takes off.

if you are so sure of your project return potentials.

1. You can give him a debenture priced at minimum of MPR +( X ) e.g if MPR is 10 then you may put X at 20 making return on his fund to be 30% p.a

2. To play safe you may combine stock option and debenture ( convertible or not convertible) in the form 10% stock of N1 each + debenture @ N100 par value ( priced MPR+ 20 to 30 % p.a )

above all involve a company lawyer to help you also draw up a shares purchase agreement.

then you pay back the money he loaned you, (with interest)
what happens to the 20% stake after that?
Or are you selling 20% stake of your business for the money he is investing?

He said he won't give me a loan instead he will invest. And he would like 20℅ share of the company worth. Dividend to be paid for a number of years as long as he is a shareholder.

Your 80% equity will also gain 200%.

What is the size of loan you are looking at?

How long have you been doing this business? What is the current value of the business? Do you have a business plan and your projections for the next 5 years? Do you have tangible collateral, goodwill or pedigree in your line of business? If I may ask what business are you into?

If you are so sure of the 200% returns in 2 years, I will advice you to sell your car, shares, get a loan from your family and friends, reduce your standard of living for the time being, so as to get capital to fund your business expansion.

It's an IT firm, I don't have collaterals you need.
I only got Award Letters by a government agency to carry on my projects.

I have resolved to get my lawyer so as to articulate the agreement papers.

Is your company registered with corporate affairs commission? How long have you being in business? What is the profitability of your business? Do you have an organisational structure in place? How about your audited accounts for the last 2 years?

If you cannot provide convincing answers to these questions, it will be better to take the offer of the guy asking for 20% stake in your company.
