This headline is not in good faith. Most of the writeup is showing that the shareholders welcome the merger. Don't know why Nigerian journalists think only negative headlines sell news.

Why do I get the feeling that the bank probably lacks enough funding power to facilitate this merger deal. Unless there's more to this, existing shareholders in ACCESS might be in for some value erosion.

CAVEAT: NOT to be inferred as any sought of recommendation. ...due diligence still applies.

I stated it here yesterday that its suspicious and a thing of worry that ACCESS is looking to raise funds via a rights issue just about the same time its riding on this merger.
...now that's a clear RED FLAG !!

A brief to ponder about;

• 1st ACCESS announces a plan to engage in a merger(or a seeming aquisation) with DIAMOND offering to give out a total return(cash + equity) at a premium of approx 260% to current market price !!
• Next the bank(access) plans to raise funds via rights of the sum of $200M. ...which is EXACTLY THE SAME AMOUNT as the DIAMOND BANK eurobond.
It might interest u to know that the said eurobond of DIAMOND is expected to be due for maturity in May, 2019. ...which is about the same timeframe that the management of ACCESS gave as guideline that it hopes to have sealed this deal and begun its synergy.
The interpretation of this is that ACCESS is possibly looking to pay down DIAMONDS eurobond debt from the proceeds of the anticipated rights issue. ...or perhaps fund the merger process from the proceeds therein.
Either way, this clearly doesn't 'tell of a good story' to the current shareholders of ACCESS BANK.
It's sad that its the current shareholders of ACCESS, who have had little or no say in this whole merger/aquisation process that will have to cough out funds to repay the bondholders of DIAMOND.
This exercise will also create a high dilution that will hitherto impact profitability and returns to the minority equity holder in the short to the near mid term.

In my view, both the present shareholders and bondholders of DIAMOND have undoubtedly got themselves a better deal. ...they are the clear winner from this whole process.
Its either the managers of ACCESS probably didn't do their homework very well, or they did, but 'don't give a hut' about their minority shareholders. ...and in which case they know some insider stuff that is still not public knowledge, but which they are bound to gain immensely from.
If I hold a stake therein(in access), I'd prefer to run and maybe ask questions later. The stock market is not running away. ...it's here to stay, so u can always key in later if u love ACCESS that much.
I still remember how SKYE BANK tour a near similar path in the aquisation of Mainstreet bank(formerly Afribank)

Those who can read between the lines and understand know what they need to do.
A word they say is enough for the...
But then again, due diligence should still remain ur 1st priority.
