The President, Major General Muhammadu Buhari (retd.), on Wednesday, reversed his authorisation of the acquisition of the entire share capital of Mobil Producing Nigeria Unlimited by Seplat Energy Offshore Limited.

The move puts the Presidency on the side of the Nigerian National Petroleum Company Limited which had earlier declined the $1.3bn transaction.


On Monday, a statement by the Special Adviser to the President on Media and Publicity, Femi Adesina, revealed that President Buhari consented to acquisition of Exxon Mobil shares by Seplat Energy Offshore Ltd.

According to the Presidency, Buhari authorised the move in his capacity as Minister of Petroleum as a way to attract Foreign Direct Investment to the country.

But giving an update on the issue, the Senior Special Assistant to the President on Media and Publicity, Garba Shehu, told our correspondent that Buhari had reversed the decision and the previous misunderstanding was because the “agencies involved in (the) decision had not coordinated well among themselves.”

Earlier, Shehu, who spoke to an online publication, said the President’s reversal of his earlier approval was in line with the position of the Nigerian Upstream Petroleum Regulatory Commission.

According to him, the confusion over ExxonMobil shares was because “the various agencies involved in the decision had not coordinated well among themselves and having looked at all of the facts with all of the ramifications, the president decided the position of the regulator is to be supported.”

NUPRC had, in a statement over Buhari’s earlier approval of the assets acquisition, said, as the sole regulator, it is the one that could deal with such matters. It therefore said the status quo remained.

The state from the Chief Executive of the NUPRC Engr. Gbenga Komolafe, said the Commission, in line with the provisions of the Petroleum Industry Act 2021, was the sole regulator in dealing with such matters in the Nigerian upstream sector.

NUPRC said: “As it were, the issue at stake is purely a regulatory matter and the Commission had earlier communicated the decline of Ministerial assent to ExxonMobil in this regard. As such the Commission further affirms that the status quo remains.

“The Commission is committed to ensuring predictable and conducive regulatory environment at all times in the Nigerian upstream sector.”

Seplat Energy Plc had, last February, announced an agreement to acquire the entire share capital of Mobil Producing Nigeria Unlimited from Exxon Mobil Corporation, Delaware, for $1.28bn.

The transaction involved the acquisition of ExxonMobil Nigeria’s entire offshore shallow water asset; an established, high-quality operation with a highly skilled local operating team and a track record of safe operations.

The NNPC Limited, however, has a pre-emptive right over the asset and had last month won a court decision temporarily blocking Exxon Mobil Corporation from selling assets in Nigeria to Seplat Energy Plc.



A Judge in Abuja had granted NNPC an “order of interim injunction” on July 6, 2022, barring Exxon Mobil “from completing any divestment” in a unit that ultimately operates four licenses in Nigeria.

Even if payment had been made, several clauses, issues and decisions can scuttle such deals.

Exxonmobil, Seplat Energy, NNPC Ltd and the Federal Government of Nigeria, all have actual knowledge of the court orders, having been duly served with the orders and/or various newspaper publications of same.

This executive interference with the judicial process of a court of competent jurisdiction is sad and ill-advised, and is contemptuous of the High Court of Akwa Ibom State. The State urges the Nigerian Upstream Petroleum Regulatory Commission to take the above facts into consideration as it considers its position in this matter.


TAKE NOTICE THEREFORE that anyone who deals with the shares or assets of Mobil Producing Nigeria Unlimited during the subsistence of the said orders and in the pendency of the above suits does so at their own risk. Let the buyer beware.

Akwa Ibom State government has dragged ExxonMobil to court over an attempt to sell off some of its assets without informing it as a critical partner about the intention to carry out such a major activity.

ExxonMobil had recently informed the general public that it had reached an agreement to sell its equity interest in Mobil Producing Nigeria Unlimited to Seplat Energy, through its wholly-owned subsidiary, Seplat Energy Offshore Limited.

However, Akwa Ibom State Attorney-General and Commissioner for Justice, Mr. Essien Udom, SAN, said, weekend, that the state government had filed a suit in court to prevent Mobil from proceeding with the sales of the assets. Udom said: “Mobil has not formerly informed the state government that they are selling off and leaving. Everything we heard was from the media, which is most irresponsible for any corporate citizen. There has been no direct contact with us.

“That’s an action that may frustrate the outcome of a pending court case. Akwa Ibom State government had to enter a court case restraining Mobil from continuing with the proposed sale of its assets and that’s because there is a pending litigation between Mobil and the government of Akwa Ibom State.

“The attempt to sell its asset, some of which may include assets belonging to Akwa Ibom State, is rather upsetting. Mobil has been in Akwa Ibom State for several years and the relationship has been very good until recently.
“The fact that they’ll attempt to sell in a surreptitious manner without any discussion with the government of Akwa Ibom State is very distressing and not to be expected from a responsible corporate citizen.

“Responding to why ExxonMobil had dragged the state government to court initially, Udom explained that the company had sued the state government challenging the revocation of some of the Certificates of Occupancy (CofOs).

“It is, therefore, a big surprise to us that in the pendency of these law suits, they went ahead and attempt to sell some of the assets and leave. That is why we have the order, stopping them from continuing the sales and removing any asset from Akwa Ibom State.

“The sale cannot be allowed to proceed because when you have parties contesting ownership of an assets, all those things would be kept in abeyance. The court has the right to keep what is called ‘subject matter of litigation.’

“Any attempt by either of the parties to deplete the asset or sell or dispose of them would be resisted by the court. It is contemptuous actually,” he added.

The first time this deal was revealed someone said Buhari wasn't aware that it was an Igbo man. This reversal has proven the guy right.

I believe orjiakor resigned as the CEO of seplat despite being the majority shareholder because of this deal. This was done to give them company a more "neutral" outlook. Amcon sold one of the popular banks to fentua, a cabal member, for 5bn despite the real value being over 200bn with people willing to buy it.

Orjiakor being from an oil producing state, Anambra, will be denied this deal despite his company being the most qualified for it. The assets will be sold to someone that his state have never produced a "keg of palm oil"
