A corporation is a legally recognized entity separate from the people that make it up. If you sue Microsoft you are not suing Bill Gates or the shareholders or any officers of the corporation. Which is why they have to be joined to the suit if you want them to also be liable.

There is no clear cut definition of when a human becomes a person. For me personally, it is when the fetus is capable of existing independently of the mother ie it can survive outside the womb.
