Business / Nestlé’s Nutritionist, Cissoko, Provides Insights On Harmonious Transition To by Newsextra014: 9:25am On Apr 13
The sacred month of Ramadan came to an end about 24 hours ago with Eid al-Fitr celebrations which mark the end of the fasting period.

This technically raises the issue of how to smoothly return to daily eating habits after the sunrise to sunset, no water or food long hours.

Then, breaking the fast at sunset, followed by one to two more meals before dawn. Meals during Ramadan are often more abundant and richer than usual, consumed at unusual hours of the night.

As the sacred month of Ramadan comes to an end with Eid al-Fitr, the celebration marking the end of the fasting period, many people wonder how to smoothly return to their daily eating habits. How can one make this transition without any hiccups and adopt behaviors that promote a healthy diet while avoiding post-Ramadan nutritional pitfalls?

To guide you in this process, Dr. Cissoko, Nutritionist at Nestlé, provides some insights for a harmonious transition to a balanced diet after Ramadan.

Readjusting Your Digestive System without Rushing:

To avoid potential stomach discomfort, bloating, constipation, or diarrhea, it is recommended to opt for easily digestible foods. Fish is preferable to meat as it is lighter and easier to digest. Cooked vegetables with low fat content are also gentler on the digestive system compared to raw vegetables. Whole or semi-whole grains are rich in fiber and promote a healthy intestinal transit. Fully ripe fruits are also easier to digest than unripe ones.

Water, on the other hand, is your best ally for a smooth transition before returning to a normal diet. In addition to maintaining the body's water balance, it plays an essential role in digestion by facilitating the process and helping eliminate toxins. Water remains the best beverage.

Lastly, prioritize small portions and take the time to chew your food well, which allows for better digestion and optimal nutrient absorption.

Opt for Gradual Changes, the Key to Dietary Rebalancing:

For a smooth transition after Ramadan, it is recommended to adopt a measured and thoughtful approach, whether in introducing different food groups or in the frequency and intensity of physical activities. Take the time to gradually introduce foods in a balanced manner, ensuring to include all necessary food groups for a healthy diet. It is important to note that physical exercise is of paramount importance in the context of a balanced diet. Light activities such as walking are particularly recommended at the beginning. They stimulate the body without subjecting it to excessive efforts. Over time, you can gradually increase the intensity of these physical activities according to your abilities. This gradual approach is the key to regaining dietary balance after Ramadan.

Avoiding Post-Ramadan Nutritional Pitfalls:

It is important to remain aware of potential nutritional pitfalls that could hinder a balanced diet.

Excessive Sugar Intake: After a period of fasting, it can be tempting to indulge in excessive sweets and desserts. It is essential to limit the consumption of added sugar and prioritize natural sources of sugar, such as fruits.

Excessive Portions: After fasting, it is common to want to compensate by eating larger portions. However, this can lead to overeating and calorie imbalance. It is important to maintain moderate portions and eat slowly to better feel satiety.

Ensuring a Good Variety of Foods: After Ramadan, it is essential to maintain a balanced diet by ensuring the inclusion of a variety of foods to guarantee an adequate intake of essential nutrients. Make sure to include a wide range of fruits, vegetables, lean proteins, whole grains, and sources of healthy fats in your meals.

Maintaining Proper Hydration: After a period of fasting, it is important to ensure adequate hydration. Make sure to drink enough water throughout the day to maintain good hydration. It is recommended to consume at least 2 liters of water per day.

Being Mindful of Snacking: Prioritizing structured meals over snacking helps maintain a healthy weight and avoid unnecessary calorie intake.

Listening to Your Body: Relearning to listen to hunger and satiety signals is a valuable skill to adjust your diet to your true needs.

Planning to Avoid Slip-Ups: Anticipating and preparing meals is an effective strategy to stick to a balanced diet and avoid impulsive food choices.
The period following Ramadan is an opportune time to establish or reinforce healthy and sustainable eating habits. By taking conscious steps, each individual can make the most of this transition to nourish their body and mind.

At Nestlé, we encourage and support this journey by offering a variety of products and tips to accompany you in your quest for a balanced diet.

Crime / TCN Is Allegedly Struggling To Pay Workers’ Salaries After Grossly Mismanaging $ by Newsextra014: 5:27pm On Apr 09
The Transmission Company of Nigeria (TCN) is allegedly battling to pay its salaries despite the $500 million its former Managing Director, Dr. Usman Gur Mohammed, left in the coffers of the government-owned firm.

This Nigeria news platform understands that the erstwhile Chief Executive Officer, in an interview with The Nation yesterday, said the fund, which his management team raised from Internally Generated Revenue (IGR) was allegedly grossly mismanaged.

According to him, he also left some concessionary funds in addition to the $500 million.

Efforts to speak to TCN’s Public Affairs General Manager, Ndidi Mbah, were unsuccessful as calls made to his phone were unanswered while the Whatsapp message sent to him also failed to elicit a response at the time of filing this report.

Mohammed said: “But, by the time I left TCN, apart from the concessionary fund I left, I left almost $500 million from the IGR that we set.

“And we did salary increase for TCN staff cumulatively from the time to the time I left close to 10per cent.

“Yet, we were able to save about $500million. But now because the place is not properly managed, go there and you will find out that they are struggling to pay salaries.”

He recalled that he requested an extraordinary tariff increase from the Nigerian Electricity Regulatory Commission (NERC) that was never approved for the TCN.

Mohammed noted that despite the failure to secure the tariff review, he was able to manage the concessionary funds of the company and saved the huge IGR aside from the regular payment of salaries.

The former TCN boss, who said the challenges in the Nigerian Electricity Supply Industry (NESI) were not as bad and surmountable as they appeared, noted that the government only needed competent hands to manage the sector.

Crime / EKEDP Chairman, Dere Otubu Fingered In Multi-million Naira Ghost Worker Fraud by Newsextra014: 5:20pm On Apr 09
The chairman of Eko Electricity Distribution Company, Dere Otubu, has been fingered in alleged multiple attempts to cover up massive ghost worker fraud rocking the organization by scheming to obstruct the company’s investigation processes.

In several email exchanges seen leaked out, Otubu made repeated attempts to sabotage the efforts of board members to investigate allegations of fraud levelled against the company’s Chief Legal Officer, Mrs Wola Joseph-Condotti.

He also reportedly made attempts to compromise the company’s internal disciplinary processes and cover up the allegations levelled against Mrs Joseph-Condotti.

Boardroom Crises: The Genesis

Recall that members of the board of the Eko Electricity Distribution Company have in recent times been at loggerheads over the alleged sack of the company’s Managing Director/Chief Executive Officer, Dr Tinuade Sanda.

Media reports showed that the firm replaced Sanda with Mrs Rekhiat Momoh. It was gathered that Sanda’s alleged sack was communicated through a letter signed by the EKEDC Chairman, Dere Otubu, on March 25.

According to Otubu, the decision to relieve Sanda of her duties followed a directive from the Nigeria Electricity Regulatory Commission.

“We have received a directive from NERC stating that all staff working for the utility must be employed directly by the utility, bound by applicable service conditions that are applicable to the employees of the utility, and paid through the utility’s payroll.

“The Disco is obligated to comply with these directives due to the powers of NERC as stipulated in the Electricity Act 2023. In compliance with the aforementioned directive, all seconded staff from WPG Ltd are being released by Eko Electricity Distribution Plc and returned to WPG Ltd.

“Accordingly, you are hereby relieved of your role, office, and position at Eko Electricity Distribution Plc effectively immediately, and returned to your employer, WPG Ltd,” Otubu said last month.

Prior to Tinuade’s alleged sack which many have viewed as not following due process, some senior staff members of the Eko DisCo were accused of ghost worker recruitment, fraud and negligence, a claim the firm said was ‘unfounded’. Reacting to the allegation, NERC ordered thorough investigations, while directing that all existing WPG secondees who were identified as defaulting, be returned to their original employer.

“We wish to inform the general public that Mrs Rekhiat Momoh has on 26th March 2024 assumed the role of Acting CEO of Eko Disco. This follows the redeployment of our erstwhile MD/CEO, Mrs Tinuade Sanda back to WPG Ltd, the core investor who seconded her to Eko Disco. We have great confidence in her ability to perform this role effectively and take the company to greater heights,” the company said in response to the directive.

Experts however argue that only WPG can effect NERC’s recall and not the chairman of the board who seems to be acting in an executive role in a breach of corporate governance rules. NERC’s ambiguous correspondences also add to the confusion.

Rebuttal

But in a subsequent rebuttal, the Director and Chairman of the Legal & Regulatory Committee, Mr Babor Egeregor, disagreed with the chairman over the sack of Sanda. He said the NERC did not order the removal of any staff either seconded to or hired by EKEDC, except those connected to the alleged fraud and negligence.

“It has come to my notice that by a letter dated 26th of March 2024, the Chairman of EKEDC, Mr Dere Otubu, purportedly terminated the Contract of Employment of Dr Tinuade Sanda, the MD/CEO of EKEDC, allegedly in compliance with orders/directives issued by the NERC.

“The said order of the NERC, herein displayed, are unambiguous, incapable of, and unyielding to plural interpretations. There was nowhere in the order where NERC requested the removal of any staff either seconded to or hired by EKEDC, except those connected to the alleged fraud and negligence i.e., Wola Joseph Condotti, Sheri Adegbenro, and Aik Alenkhe,” he said.

According to Egregor, NERC’s directives were issued to compel the board of EKEDC to act appropriately in the face of the determined position of a majority of the board members to cover up the alleged use of ghost workers together with the alleged fraud and protect Wola Joseph Condotti.

“Mr Dere Otubu’s letter, therefore, was done in bad faith and in vengeful revenge against the MD/CEO for escalating the alleged fraud and issuing queries against one of his protégés, whom he has desperately sworn to protect by all means.

“Rather than comply with the orders of NERC, a recourse to subterfuge was hatched with the purported termination. There are no doubts about a deliberate agenda and unconcealed mischief to misread the orders of the NERC to malign Dr Sanda’s reputation for daring to escalate and issue queries to Wola Joseph Condotti for alleged fraud through the use of ghost workers for three years, and continuous payment of salaries to exited staff despite personally receiving their resignation letters,” Egregor stated.

Analysts also argue that following Otubu’s action which he based on a misinterpretation of NERC directive, then he Anne other members of the board who were seconded to represent WPG on the board ought to leave – if the NERC order is meant to be followed as the chairman has erroneously described. This argument is also supported by the earlier email correspondences this publication saw in which such an argument was posed reacting to the recall of Ms Condotti by the core I investor, WPG.

Otubu Exposed

Meanwhile, multiple messages leaked out and seen by this medium have revealed the backend details of Otubu’s attempt to cover-up for Condotti and the real reasons for his “vendetta” against the MD, Tinuade.

Last November, immediately the allegation of fraud was escalated by Tinuade, the chairman of WPG limited, the employers of Wola Jospeh Condotti, recalled her to WPG to avoid obstruction of investigation in line with best practices. But in a shocking twist of events, Dere Otubu unilaterally instructed Condotti to disregard the recall with the pretense to fairly apply the conditions of service of EKEDP.

“I was copied in a letter from Chairman of WPG dated 5th of Dec 2023 recalling you From the position of Chief Legal Officer to EKO DISCO,” he wrote in an email to Condotti.

“Kindly disregard this letter in its Entirety. Eko Disco will Continue with its process of looking into the matter. Eko Disco MD who is copied should note accordingly.”

Although he was immediately confronted by members of the board, who indicated the existence of disciplinary process and showed that EKEDP’s punishment for the offence was sacrosanct. Amid the insistence of the union and other board members that due process be followed, it became clear to him that the law would be adhered to.

Not relenting in his scheming, Otubu told the full board of the NERC that the condition of service of EKEDP does not apply to seconded staff. At that point, it had become apparent to the entire boards of both EKEDP and WPG that Dere Otubu was hell bent on compromising the disciplinary process to cover-up for Mrs Condotti.

Another board person, George Etomi, fired back at him to ensure that due process was followed.

“Let me remind you that when you spoke to me it was more about how this matter can be suppressed and I told you very clearly that I would not stand for that,” Etomi wrote in an email exchange.

“Given the reference to GEP of course I will recuse myself from any investigative panel that will be set up to look into this matter. I do not see how recalling a WPG employee that serious allegations have been made against can be wrong. On the contrary, your assumption of my guilt is what shows your bias and I do not trust any process in this matter that is chaired by you.”

Following the principled objections to Dere’s scheming, there was a constitution of a disciplinary committee by the board of EKEDP headed by Dr. Tunji Olowolafe and Otubu again tried to unilaterally expand the committee’s scope of reference to provide latitude to surreptiously indict the MD/CEO, Tinuade Sanda, and then negotiate the release or cover up of Wola Joseph Condotti.

For instance, he took over the responsibility of the company secretariat to personally ‘extract’ and prepare terms of reference that were unknown to the collective board of EKEDP.

That prompted Babor Egeregor, Chairman Legal Corporate Governance and Regulatory Compliance Committee, to raise the alarm about Otubu’s conduct in another email to Dr Olowolafe.

“Dr, Please Deliberating on this extraneous Terms of Reference as singularly and surreptitiously introduced by Mr.Otubu who openly admitted to being conflicted will be tantamount to deliberating on falsehood and illegality,” he wrote in an email.

“We must be governed by the resolutions of the board, which is the highest decision making body of the company. Mr Otubu is acting as an executive chairman which he is not and definitely not an emperor as he is attempting to be. When we do things like this then we are saying we have thrown caution, corporate and good governance out the window. When we get to that meeting I won’t be a part of this fake and fabricated term of reference. God forbid!”

See the Emails below;

What Next?

Following committee’s impasse on complying fairly, prompting the resultant media escalation and union agitations, Dere Otubu wrote Dr. Tinuade Sanda with threats of possible sanctions. He acknowledged calls from whistle blowers and bad press but refused to acknowledge that the trigger is connected to the failure of the board under his leadership.

He then mandated the MD to ‘wave the wand’ to dispel consequences. In her response, Dr. Tinuade restated her fidelity to corporate governance crisis management and also urged Otubu to honourably stop duplicitous outlook towards the staff and the union by following the rules of the company.

The exchange snowballed to the unease that got to its crescendo with the removal of Tinuade from office and subsequent reversal of the decisions. Insiders say that Dere Otubu’s near-unilateral decisions and refusal to adhere to internal corporate governance frameworks casts a shadow of doubts on EKEDP’s ability to manage its affairs, ensure compliance with regulations among staff, and nip corrupt practices in the bud.

It remains unclear how long this would linger until something gives way. NERC on the other hand seems to have found itself in a web of corporate scheming which they were probably unaware of when they wrote their letter.

Business / Wema Bank Fined N61.4m After Breaching 7 Nigerian Laws by Newsextra014: 1:37pm On Apr 09
WEMA Bank found itself on the wrong side of 7 Nigerian laws in 2023, paying penalties totalling N61.350 million in one year

This was revealed in the bank’s full-year 2023 financial statement, which showed that the lender contravened a cybersecurity law, a section of the Bank and Other Financial Institutions Act (BOFIA) 2020, the Central Bank of Nigeria (CBN) circulars on Know Your Customers, among others.

On the cybersecurity framework contravention, Wema Bank received a fine of N2 million, but the lender was fined N20 million for breaching Section 19(3A) of BOFIA, 2020.

Also, Wema Bank was made to pay N17.45 million for violating the CBN circulars on KYC.

The bank further paid a fine of N10 million for the late rendition of final returns. The CBN circulars on KYC were targeted at reducing money laundering and other forms of financial crimes.

“There is no doubt that having sufficient information about your customer and making use of that information is the most effective weapon against being used to launder the proceeds of crime.

In addition to minimizing the risk of being used for illicit activities, it provides protection against fraud, reputational and

financial risks and enables individual financial institutions to recognize suspicious activities,” the CBN says in its KYC manual.

Similarly, the bank paid a penalty of N8 million for Risk-Based Supervision (RBS) breaches. The lender was likewise penalised for a regulatory breach on the CBN clearance, paying a fine of N2 million for the contravention.

For the late filing of its 2022 audited financial statements with the Nigerian Exchange Limited (NGX), the tier-2 lender was fined N1.9 million.

Fraud and burglary lower but still risks

Fraud and burglary are still big risks for the bank, which lost N256.387 million to them in 2023. However, this was far lower than N880.154 million lost by the bank in fraud and burglary cases in the corresponding period of 2022.

This would mean that the bank took some measures to tackle fraud and theft in 2023, said a credit risk analyst, Mr Osai Djemba.

Mr Djemba explained that the bank “must introduce artificial intelligence measures to reduce its exposure to theft to the barest minimum,” arguing that “sophisticated thieves and several criminals have infiltrated the Nigerian financial system to steal, kill and destroy.”

Complainants demand N10.8bn

Wema Bank left 9,974 complaints unresolved by December 2023. This is lower than 13,642 unresolved complaints reported in the corresponding period of 2022.

Various customers with these complaints demanded N10.843 billion from the lender over the issues.

The bank, however, refunded N11.258 billion to customers (apart from the N10.843 billion), the financial statement said.

“As a result of the initiatives stated earlier, the Bank successfully reduced the average time taken to resolve customer complaints by 60% compared to 2022, and the resolution rate increased from 93% to 98% demonstrating our commitment to improving the experience of our customers consistently and efficiently, the bank noted.

Politics / FG Files Tax Evasion Charges Against Binance by Newsextra014: 12:23pm On Mar 26
In a decisive move aimed at upholding fiscal responsibility and safeguarding the economic integrity of the country, the Federal Government has initiated criminal proceedings against Binance, a prominent cryptocurrency exchange platform.

The charges, filed at the Federal High Court in Abuja, were announced on Monday by the Federal Inland Revenue Service (FIRS).

The lawsuit, designated as suit number FHC/ABJ/CR/115/2024, implicates Binance with a four-count tax evasion accusation.

Joined with the crypto company as second and third defendants in the suit are Tigran Gambaryan and Nadeem Anjarwalla, both senior executives of Binance currently under the custody of the Economic and Financial Crimes Commission (EFCC).

The charges levied against Binance include non-payment of Value-Added Tax (VAT), Company Income Tax, failure to file tax returns, and complicity in aiding customers to evade taxes through its platform.

In the suit, the Federal Government also accused Binance of failure to register with FIRS for tax purposes and contravening existing tax regulations within the country.

One of the counts in the lawsuit pertains to Binance's alleged failure to collect and remit various categories of taxes to the federation as stipulated by Section 40 of the FIRS Establishment Act 2007 as amended.

Section 40 of the Act explicitly addresses the non-deduction and non-remittance of taxes, prescribing penalties and potential imprisonment for defaulting entities.

The charges further detail specific instances where Binance purportedly violated tax laws, such as failing to issue invoices for VAT purposes, thus obstructing the determination and payment of taxes by subscribers.

“Any company that transacts business in excess of N25 million annually is deemed by the Finance Act to be present in Nigeria.

“According to this rule, Binance falls into that category. So, it has to pay taxes like Company Income Tax (CIT) and also collect and pay Value Added Tax (VAT).

“But Binance did not do this properly. So, the company broke Nigerian laws and could be investigated and taken to court for this infraction,” Adekanmbi said.

The Federal Government remains resolute in its commitment to ensuring compliance with tax regulations and combating financial impropriety within the cryptocurrency sector.

FIRS, by the law setting it up and various others, is empowered to assess, collect and account for revenue accruing to the Federation and administer relevant tax laws.

Binance pleaded guilty to flouting anti-money laundering laws in the United States in late 2023, settling for a plea bargain that cost the company $4.3billion.

Nairaland / General / Our Free Film Festival Was To Empower Nigerian Youths – Fenmore Studios by Newsextra014: 10:55pm On Feb 16
Mr Allen Agozie, co-founder of Fenmore Studios says the maiden edition of the Fenmore free Film Festival was aimed at empowering the Nigerian youths in the film industry.

Agozie, who said this at the sideline at the event, added that the young, yet rapidly ascending production company is a hub of innovation and creativity that is quickly carving a niche for itself, and promising a bright future for filmmaking in Nigeria.

The exhibition that took place in Abuja on Friday, 9th February had in attendance, H.E. Pascaline Gerengbo Yakivu, Ambassador of Congo DR to Nigeria, Directeur Judikaël Regnaut, Institut Français du Nigeria, Directrice Déléguée Magaly Losange, Institut Français du Nigeria.

``As a production company, Fenmore Studios decided to organise this film festival, in collaboration with Institut Français du Nigeria and Mambah Café, to celebrate short films and young filmmakers who are trying to tell our stories.

``Our efforts are to nurture new talent and highlight them as a notable entity to watch in the cinematic landscape’’.

According to him, as Nigerian youths grapple with unemployment, the film industry is a viable option that can create jobs and make people self-employed, if they can tap into it.

According to him, the Film Festive was an initiative to offer young filmmakers a platform to showcase their talents and creativity.

“The aim of Fenmore Film Festival is to give them a platform to showcase their works, and encourage them that they can be genuine tellers of original human stories’’.

He said that the theme of the festival was ‘Contemporary African Narratives’, was about the new ways of telling the African story.

``We want to tell our young filmmakers that they can change the nation through film.

“We selected and exhibited eight films that we believe show exactly what it means for young filmmakers in this generation to tell the same story that have been told before about society, but with a bent that will appeal to a wider audience.

“We hope that anyone that attended the festival falls in love with the films, and with this happening in Abuja, youth will join this community of young filmmakers to explore the vast opportunities that abound,” he said.

He noted that a lot of opportunities were available both in front and behind the camera for creative and talented young Nigerians who may want to venture into the motion picture industry.

``There are opportunities in the industry for every passionate and talented youth; from acting to cinematography, script writing, costume design and many more specialties.

``A lot of Hollywood films are being made with millions of dollars and that is because they think it is an industry worth investing in, and Nollywood actually has the same potential.

``So, what we really need to do is to start telling our own stories very well, genuine stories that a lot of people will be interested to tap into and make bigger on larger scale.

``That is when the money and employment will come, and the industry is definitely worth investing your time, talent and money in “, he said.

Agozie said that as Nigeria faces economic challenges and seeks to diversify its revenue mainstay, its rich culture and creative sector is a veritable alternative, if well harnessed.

He, therefore, urged the government at all levels to make the sector attractive to creative young Nigerians by providing necessary support in the form of funding and capacity building.

Some of the short films screened at the festival included ‘Swimming in a Sea of Trauma’, ‘You Matter to Me’, ‘Boy Meets Girl’, and ‘Cementary of Doves’. Others were ‘Rare Fish’, ’Hanky Panky’, and ‘A Quiet Monday’.

Stating the reason behind the health care centre, Primate Ayodele explained that the less privileged have issues accessing health care and even for an average Nigerian, it’s becoming unaffordable. ‘’The average Nigerian is battling with so many things and health care is one of them. People have died because of illnesses that were not attended to because they couldn’t access medical assistance. In addition to these lined- up programmes, Primate Ayodele will commence the building of a mosque for the muslim communities, a bakery where the price of bread would be subsidized, a laboratory to cater for the medical needs of people, and several others.

Furthermore, the grand finale will feature the ‘mother of all empowerments’; hundreds of scholarships will be given, accommodation fees will be paid, landed properties will be dashed out, medical bills will be cleared and to cap it all, vehicles will be given to church members and journalists.
