Bank will use your last AFS and your current performance with assumptions to analyse the future projections, but in a situation where past performance is yet to be certify and such company got approval calls for questioning, such company can get all things to muscle out minority shareholders

You may be right, but only to some extent.
What banks/businesses invest in is the FUTURE, not necessarily the past.
A company may have a terrible past, but banks would give loans and invest in it if they are convinced of the future prospects. Most companies doing well today have had difficult pasts!
Oando has good prospects as an upstream company (sales and receivables in dollars), plus additional resources from the acquisition of ENI. Their shares would clock the N100s the moment they are able to stabilize paying their loans and dividends to shareholders

Using the word "thrash" is unnecessary, by the way you should also note that they can use govt power to push away minority shareholders. It has both pros and cons

The result is not impressive in my opinion because they did 2.6billion for full year of 2022 as a private company, I don't see them making 700m within 3 months to match 2022 performance. EPS fall from 1.3 to 0.5.

With Mecure 4billion os, I don't think this result is bad.Market will still review the price upwards.The stock will still touch #6.50 to #7 but as a new company at NSE,I will set my entry at #4 to 4.50 if the opportunity calls.

Thats the fear. They can do anyhow and ask you to "go to court" and you know what that means.
But if the reverse turns to be the case, then the shareholders go hammer.

I don't want to delist and I don't want minority shareholders to benefit from my current profitable outlook. So what do I do? Create uncertainty and Shake off as many minority shareholders as possible and accumulate as many more shares to myself.
Could this be what is playing out in OANDO?
If so, then someone should inform OANDO that they've got a good number of really tenacious shareholders who will hang on tight and risk this uncertainty to the end.

I hope it is not a covert tactic to partially withdraw from Nigeria at the expense of the public. For instance, the stock price could be pumped up, followed by a gradual sell-off of shares.

Exactly, what am thinking, they move their shareholdings from 20k to 4 billion for listing purpose. They refused to sell to the market after listing and strategically inflating the price for them to exit at optimal price. They will recoup their investment and also hold substantial holdings while they keep managing the business and also pay themselves bogus emoluments at the expense of dividends to other shareholders.

The street is rugged . I pity the newbies. If you know you are new to this game, please invest your money in stocks that are fundamentally sound. Take your time to check out at least 5 years record. Carry out your due diligence. As it is quick to make money in stocks, na so e quick to lose am .

The president that's going around the globe wooing investors, coupled with the recent series of companies delisting from the Exchange, do we think the one he has direct control over (Cousin's company) will be allowed to just go like that?
Isn't that a dent on his own image?

I thought of this angle too. He rang the NASDAQ bell calling for FPI' to come to NGX. Oando delisting plus all the other delistings will make a huge mockery of his wooing FPI and FDI investors.

He will be in G20 next week in Germany on special invitation.

If they have the power to manipulate things as you stipulated, why did OANDO end up paying some shareholders millions as directed by SEC?

Is only when you make a list of what OANDO stand to gain or lose if they delist. Then you will be able to overcome the fear of delisting.

Even when Wale has given you expo that some of the agrieved minority shareholders has left but as humans, I understand the fear of unknown. But then you should ask your self if a bank was able to trust OANDO with $800m why can't I risk a million or two.


Pls this is not an advise to buy OANDO as OANDO is not a game for boys but men.

Are you sure PAT fell, the outstanding shares used to calculate the EPS for last year is different from the current one

Entity concept: BAT is different from Wale Tinubu and Oando so it has nothing to do with wooing investors or NASDAQ Bell ringing. Oando would be the vehicle that will be used to siphon national assets so it need to go private at all cost in order to avoid public in scrutinising their dealings. They may increase the buy out price to compensate minority shareholders, but it will definitely go private.

I am not sure they want to exit Nigeria most of the Indian owned businesses of the Vaswanis, Aswanis, Chellaram and many others have been operating in Nigeria for the past 80 years, most of them their great grandfathers japaed to Nigeria over 100 years.


I have aged parents who patronize them and I can tell you that the business and Investment opportunities in the health sector is enormous.


Very difficult to see a Nigerian owned family business that will outlive their founders up to the third generation

The ordinary shares for 2022 is 4billion units which is the same for 2023. Please check page 26 & 27 of the listing memorandum.

They may not exit truly, but there are reasons behind them not releasing stocks to the market in order to push the price upward.
