The best approach would be to file for the enforcement of your fundamental Human right as enshrined in S.40 of the constitution. This section guarantees right to being a member of an association in Nigeria, and it states that one "may form" or belong...to any association. The word "May" according to the interpretation act equally suffices "May not", because its conditional in nature. So on the basis of the above logic, it would be proper to say that the so called Association has no right whatsoever to compel you to become their member. With judgment from a court of competent jurisdiction, it would be your turn to harass the living day light out of the trustees of the Association. |

Next step would be to wait for the certificate to be out. Before the certificate is dispatched, you have to inquire from CAC's Customer care desk whether the file that be allocated an Rc. No. This step is necessary in the sense that if there is an issue with the job filed, it would be queried instead of being issued an Rc. No. On the otherhand, if it has been queried, you have to apply with a copy of your CAC accreditation card stating that your file has been queried and that you wish to retrieve the file for compliance. Then once the request is granted, you would be given the actual document that ought to be amended. After complying, you'll have to submit it back to the customer care officer that attended to you earlier. To be continued. |

At this stage, the memorandum and article of association together with the other CAC forms is said to be set for filing. The CAC form 4 has to be notarized by a notary public, and the cost is N200. Moreover,the High court of a state can also perform the same task of a notary public. Then the following documents has to be submitted to the CAC. 1. Form CAC 1 ( availability and reservation of name) 2. Form CAC 2 ( statement of share capital and allotment of shares) . A photocopy of the CAC form2 has to be submitted as well, which would serve as the certified true copy (CTC). 3. Form CAC 3 ( Registered address of the company) 4. Form CAC 2.1( persons to be the secretary of the company) once a copy of this form is included, the filing would be N19,000.00 as against N17,000.00. 5. Form CAC 4 ( compliance to the rule as contained in CAMA) This form is completed by the legal practitioner incorporating the proposed company 6. Form CAC 7. ( Particulars of Directors). A photocopy of this form has to be made and filed with the rest of the documents. The copy would serve as the CTC , and it doesn't attract any financial implication like that of form CAC 2.1 (PARTICULARS OF PERSON TO BE APPOINTED AS SECRETARY OF THE COMPANY) Once all this documents is ready, then the sum of N17,000.00 or N19,000.00( in the case of were Form CAC 2.1 is filed) would be filedat the CAC. |
After the Memorandum and Article of association together with the Form CAC2 has been stamped @ the FIRS office, you'll have to present the duplicate copy of the Receipt issued to you at the bank for the purpose of collecting the stamped document. The incorporation document is sold for N500 and it contains CAC form 2,2.1,3,4 and7. So once the form is carefully completed by a legal practitioner or the proposed directors, then the memorandum and Article of association would be prepared and signed by the subscribers. The next step would be to make payment for stamp duties at any designated bank,then an e- ticket would be issued @ the bank after payment, which the Legal practitioner or directors as the case may be which would be attached to 3 copies of the memorandum and article of association, together with 2 copies of the Form Co2. Then the incorporation document prepared and stamped must be filed at the Corporate Affairs Commission. (CAC) 7.
