This is to inform you of the Extra-Ordinary Meeting of our dear Company – FTN COCOA PROCESSORS PLC – which is scheduled as indicated below:

In view of the COVID-19 pandemic, the restriction on mass gatherings and in line with the Guidelines issued by the Corporate Affairs Commission on holding EGMs/AGMs using proxies, attendance at EGM shall only be by proxy. Consequently, a member entitled to attend and vote at the EGM is advised to select from the underlisted proposed proxies to attend and vote in his stead.

EGM NOTICE PROXY FORM


For a proxy form to be valid for the purpose of the meeting, it must be completed and deposited at the Registered Office of the Company at 16a Commercial Avenue, Sabo-Yaba, Lagos or The Registrar, Meristem Registrars and Probate Services Limited, 213 Herbert Macaulay Way, Adekunle, Yaba, Lagos. All proxy forms should be deposited at the Company Secretary’s/Registrar’s Office not later than 48 hours before the time of holding the meeting. Note that payment of stamp duties for all proxy forms shall be at the Company’s expense.

Broadcast of the EGM

The EGM will be streamed live. This will enable shareholders and other stakeholders who will not be attending physically to view the proceedings. The link for the EGM broadcast will be made available on the Company’s Website at www.ftncocoa.com.ng
