There are strong indications that the Zinox Group has acquired one of the leading e-commerce giants in Nigeria, Konga, after several months of strategic negotiations with major investors, Naspers and AB Kinnevik.

An industry source as saying that the transaction had been approved by the Securities and Exchange Commission (SEC) as the group – an integrated Information Communication Technology (ICT) solutions conglomerate and Original Equipment Manufacturer (OEM) – prepares to raise the profile of e-commerce in the country.

Confirming the development, the Head of Corporate Communications, Zinox Group, Mr. Gideon Ayogu, said:

“We have always had an interest in Konga and another big one you know very well but our priority was Konga first because of her integrated nature of four quality companies in one.

“Konga is a world-class, professionally-run company whose landmark strides in the sector has gone a long way in ushering millions of Nigerians into the ease and convenience of online shopping and boosting the conduct of e-commerce in the country.”

As part of the acquisition, Zinox Group would assume ownership of the e-commerce group, which includes Konga.com, Nigeria’s largest online mall; KongaPay, a CBN-licensed mobile money platform with over 100,000 subscribers as well as KOS-Express, a digitally-driven and world class logistics company.

The acquisition has been viewed by industry watchers as a major development that could see e-commerce in Nigeria finally unlock the massive revenue potential in the global multi-billion-dollar industry.

A recent estimate by App Annie, a United States Marketing research company, stated that earning from apps are expected to hit 189 billion dollar by 2020. The interim board of 9mobile may have finally settled for Teleology Holdings Limited as the preferred bidder for 9mobile, the country’s fourth-largest mobile network, according to an insider source.

Teleology Holdings Limited, promoted by Adrian Wood, the pioneer Chief Executive Officer of MTN Nigeria, was one of the shortlisted five investors bidding for 9mobile.

According to the source, which is close to the interim board of 9mobile, Barclays Africa, the financial adviser managing the sales of 9mobile had since submitted its recommendation to the board, which met yesterday to review the recommendation. Prexblog gathered that the board decided to settle with Teleology Holdings Limited, based on the recommendation of the financial adviser.

The preferred bidder is therefore expected to make payment within a given period, to take full possession of the telecoms company.

Although Spectrum Wireless Communication has obtained a court injunction stopping the sale of 9mobile, claiming that it invested over $35 million in the telecoms company, and that the repayment was not factored into the planned sale of 9mobile, the source said the case has been appealed.

According to the source, once a case has been appealed, all parties involved must maintain the status quo. “The status quo, which is the existing state of affairs, means that the sale of 9mobile will continue until the Appeal Court passes its judgment,” the source said.

This development to settle for Teleology Holdings Limited may have brought to an end the acquisition process supervised by Barclays Africa since last year.

Teleology emerged as the new owner of 9mobile ahead of Smile Communications, which had been the only other bidders in the final round of the takeover bid that made financial commitment, out of the shortlisted five.

Though 16 bidders had indicated interest in acquiring the mobile network, only five were shortlisted before the number was further reduced to three.

While Globacom and Helios failed to back their technical bids with concrete financial bids, Airtel later pulled out of the process, leaving just Teleology and Smile Communications.

Teleology, a private equity firm with an investment portfolio of $11bn, offered more than $500 million to acquire the mobile network while Smile Communication offered about $300 million.

A Lagos Division of the Federal High Court has awarded N5.9 billion “special damages” against Multichoice Nigeria Limited in an eight-year-old copyright infringement legal battle between the South African firm and the Musical Copyright Society of Nigeria Ltd./GTE.

In a judgment on Friday, Mohammed Idris, the judge, struck out Multichoice’s claims against the defendant, the Musical Copyright Society of Nigeria Ltd. (MCSN)/GTE.

The judge said, “The court having delivered judgment this 19th day of January, 2018, striking out the plaintiff’s claims, it is hereby ordered as follows: That judgment is entered in favour of the defendant/counter-claimant in the following terms: N5,490,652,125.00 only as special damages.”

The court also awarded separate sums of N200 million and N309 million as general and aggravated damages respectively against Multichoice in favour of the Musical Copyright Society of Nigeria Ltd./GTE.

Multichoice had dragged the Musical Copyright Society of Nigeria to court in Suit No. FHC/L/CS/1091/11 seeking a perpetual injunction restraining the group from asking or demanding them to obtain copyright licence for the broadcast and communication to the public of musical works on the radio and television channels operated and distributed by Multichoice.

According to the company, MCSN was not licensed or approved by the Nigerian Copyright Commission as a collecting society.

The suit had come after MCSN wrote to Multichoice in 2011 demanding N4.1 billion as cumulative copyright and royalties for its body of works used by the latter during the airing of its programmes.

In its counter-claim filed before the judge, MCSN accused Multichoice of copyright infringement on 18 songs in its repertoire, including ‘Konko Below’ and ‘Never Far Away’ by Nigerian masked musician, Bisade Ologunde (popularly known as Lagbaja).

The other songs, which the Musical Copyright Society of Nigeria Ltd./GTE accused Multichoice of using without lawful permission included UEFA Cup thematic music and UEFA Championship League thematic music.

“The defendant to the counter-claim did each of these acts in the course of and to promote their businesses and to make profit without the authority or licence of the counter-claimant and the counter-claimant has suffered loss and damage,” the MCSN had argued in its counter-claim.

“The defendant to the counter-claim bluntly refused or neglected to voluntarily apply for and obtain the permission of the counter-claimant before deploying the musical works of the counter-claimant’s repertoire into the defendant’s broadcasting activities.

“The defendant has continued to infringe upon the works and has threatened to do so continually unless restrained by this honourable court.

“By its acts of infringement aforesaid, well knowing that it was thereby infringing the copyright of the counter-claimant, the defendant has acted in flagrant disregard of the rights of the counter-claimant. On this premise, the counter-claimant is entitled to and claim from the defendant additional damages pursuant to Section 16(4) of the Copyright Act 2004.”

Spectrum Wireless Communication recently obtained court injunction to stop the sale of 9mobile, whose sale was at the verge of completion and this has pose fresh challenges for the telecoms company.

Industry stakeholder, 9mobile and United Capital Trustees Limited is the receiver-manager appointed by consortium of 13 banks, which lent $1.2 billion to former Etisalat – now 9mobile, were thrown into confusion last week for the stop of sale of 9mobile.

Spectrum Wireless Communication has allegedly invested over $35 million in the telecoms company and therefore prayed the court to stop the sale to enable those involved to rewrite the template for the payment of its investments in 9mobile before it could be sold to a new investor and the court granted its request by stopping the sale.

Although, United Capital Trustee Limited has appealed the case, and has vowed to continue the planned sale but it’s uncertain how far it can go, since it may be legally interpreted as contempt of the court.

ATCON President, Mr. Olusola Teniola, said Spectrum Wireless might have it reasons for seeking court injunction, but the best way to resolve the issue was for all the parties involved to come together and reach an amicable resolution.

Teniola blamed the Mubadala development company of Arab Emirates and Etisalat group for not handling the issue properly at the early stage. Although, he said he was happy as United Capital Trustees was ready to continue with the sale of 9mobile.

The Nigeria Billionaire, Michael Adenuga, has millions of dollars unpaid in telecommunications fee due to federal government of Nigeria and even the telecommunications debt made Benin Republic removed him from operating, suggests that he is cash-scrapped.

Glo is yet to pay the $282 million dollars for its GSM renewal fee that expired last year which is always renewed in every 10 years. Glo was also unable to pay N1.4bn owed the NCC for the frequency spectrum license it holds which expired on November 2017.

Globacom company was tossed out of Benin republic in December after it failed to renew its operational license. It had up to 1.6 million subscribers in 2015. Some sources familiar with the company operation revealed that Glo financial troubles has been mounting for a while.

Also recall that Globacom holds Nigeria’s second National operators license and had been unable to fund the deployment of fixed land lines as stipulated under the terms of the license due to cash constrains.

In 2001, his first attempt to acquire a GSM license under his investment vehicle was a complete disaster, which costs him to lose his bid deposit of $20m due to his inability to pay the $265m license fees within the timeline set by the government during Nigeria’s first open GSM license auction.

So, how Adenuga plans to raise at least $1bn to acquire 9mobile, which owns a consortium of Nigeria banks about $1.2bn in loan, with its crippling indebtedness to government remains a facade.
