Oando AGM is on Monday 06-Nov-2023

Will the AGM release bears or bulls ?

Some bulls have been released.
And meeting never start. Only advertorials with nice background beats.
Meeting started and more bulls released.
Offers drying out. Either bought or withdrawn to be re-offered at higher prices.

Praise singing and arse licking galore. Where are the people who bought Oando at N50 back in the day to put the board on its toes and sweat a little?

Some hard questions have been tabled also. Like when will dividends start again. And another like is it worth talking about that when management will be buying out minority shareholders. Waiting for management response on these two key questions. Or if management will not give clear response. And further bears will be released shocked

Management response to the bolded will determine the market direction any moment from now. Though it is cautiously trading.

Highlight so far

1. 98% of current revenue are earned in dollars. No more Naira revenue
2. Proceeds from sale of retail stations were used to pay bank loans
3. buyout of minority shareholders will only happen if 75% of the minority shareholders approve the buyout during the court sanctioned meeting.
4. The company had issues because they had to pay over 600Million to some shareholders as mandated by SEC.

Management response to the two key hot questions.
Dividends will be restored sometime in future. That there will be no problems to pay dividends. (Sounded optimistic shocked)
Some agitating shareholders already exited. However the scheme process will go the whole hog. Only the remaining minority shareholders at the court ordered upcoming scheme meeting will determine the way forward based on 75% majority vote.

My take - body language and comment from Wale suggest those minority shareholders that want to exit have exited. But the comment from a key board member suggest caution, as it's minority shareholders that will determine way forward. That process must be concluded. Umm - Looks open ended - a buy out could still happen. However market has responded with full BID again following these answers. With zero offers. ZERO offers.

Well, that's a possibility.......but why won't GSK pay up to 15? I still don't know the reason they'll tender for that.....
This same GSK was selling above 26 few years ago.....and to say they're buying out only the locals, that's another good reason to pay nothing less than 20!
The shareholders should protest if payout is not up to 15 at least.....
Extract from August 9th post...
In response to the post of Obagadaffi who opined the buyout will be in the N7.50 region.

GSK eventually did not disappoint.
Buyout: N17.42........though ought to be higher, but for the dwindling revenue in recent years.

Make una no forget to pay your tithes.

Dont be too optimistic

if Wale meant well why was the issue not on agenda?

since it is not on the AGM agenda, it mean that another EGM to solely consider the issue would have to hold but what is the possibility of that holding from today and before November 28 (barely three weeks away)

if you also put into consideration that the AGM/EGM guideline mandates AT LEAST 2 weeks notice. then it is certain that no EGM would hold before Nov 28 hence there would be no definite action from the court case by Nov 28 at best what you would have is another adjournment

People should tread carefully

It entirely depends on you and the price you buy Oga.
It was even sold on the floor up to 21.05 or so last week.....
If you've made good gains and have somewhere else to channel the fund, you can sell.

Who knows, you may even have another opportunity to pick a bit lower again if the payout delays unnecessarily and still cash out with 1 or 2 naira.

That's my opinion ooo......and what I may likely do if in your shoes.

Apart from one mr Nonam Awu (something like that), the man in blue native and white hair who spoke dispassionately about the real issues, nothing more than praise singing by persons who clearly did not understand how the proceedings should go. If there are 20 of his likes at the AGM shareholders would not be holding the wrong end of the stick. Unfortunately, alone he cannot stop a moving train.
And that electronic vote is a real joke! Very easy to manipulate and Wale and the board will be relying on that for the scheme buy out voting
