I like Wale's smoothness in speech during AGM. I look forward to it grin
You are always smiling when guys are frowning!

Uncle Uche must be very careful!

So the goal post has been shifted to Q4 grin
Realistically, one has to take into consideration the effective date of the deal.
I don't think a deal that was signed in the 3rd/4th week of August would take effect from July 1st.

Kindly correct me if I am wrong oooo!

Q3 is coming up. Hopefully we see the NAOC acquisition effect in full force. I believe this is the market expectation. Deal completed within the quarter, so it should be included.

I'm not sure why a lot here were waiting so eagerly for the audited 2023 results. Were they expecting a marked improvement from the unaudited one?

The good thing is that audited 2023, Q1 and Q2 have been released and they were .......erm! The market sent the price from N90 to N60.
N55 to N60 seems to be a floor until the next FA event (the release of Q3 result). IF the NAOC acquisition reflects positively, I am (as do many here) inclined to think the SP will go on a run. Ah! I don't know o.
I don't think the NAOC acquisition will play a huge role in Oando's results for Q3 2024. The deal was finalized towards the end of August, so September 2024 is the only full month that will reflect in Q3 2024.
Q4 2024 should provide a better view of the impact from NAOC acquisition.

Oando shareholder here. There is nothing positive about this.

Unless accounting has changed under Professor Wale, accounts receivables (AR) are sales that Oando made to customers and booked as revenue but hasn't collected cash. And there's a (bad) reason why not. It is not good when your customers have problems raising cash to pay you, "asset-rich" or not. And if you want to liquidate those ARs, which fool will stand ready to pay you face value for the privilege of being owed by those "asset-rich" debtors?

And please stop the special-dividend delusion. First, that AR has already been booked as revenue; it is not some new income. Second, a company as indebted as Oando is cannot be paying dividends. At minimum, that would probably violate their debt covenants. Creditors want their money first before you pay shareholders.

So why this weird proposal? I suspect, but do not know for sure, that it's got to do with concerns about recovery of the AR and the arcane, I-am-too-sharp-for-myself deals that Wale & Co have been doing behind the scenes. Instead of writing down the AR, which would negatively hit revenues, they're trying to shuffle the deck. Unless I'm missing something, that can't be good for minority shareholders. Perhaps I should've sold at N90.
We will all learn one or two things from each other if we keep calm with an open mind and allow people to say their views and opinions on this matter. The above post brings in another perspective to the Oando matter.

A lot of shareholders are not Accounting or Finance professionals. Hence, if some shareholders (e.g. on this forum) do not get some enlightenment and education on this issue, possibly from posts like the one above, they would not be able to know or understand what/which kind of question to ask when they go to the AGM.
Reason why many companies get away with so many absurd decisions at AGMs.

You know the issue with you sometimes is that, you tends to be seeking for convictions often, while you still behave as if you know much about this stock.

Not against keeping open minds, but some of the questions you're raising, you can't get answers here immediately like that.
If you have some info for us, pass it along, we all are seeking more clarifications on the new development but not more complications.

Even those that still come up with their views/info, you continue to ask unending questions.
We can't get all the clarity just in one day.
As more experts are digesting the info, we'll get much better explanations....insiders explanations may also come up.
Basically, my thinking is that this forum is for us to discuss, express opinions and ideas on things like this. What Oando is doing is novel and not too common, hence a lot still needs to be understood.
I am open to reading more of what people might have to say, because I want to learn from them and understand better.
Like we all used to say, if someone finds a post or story irrelevant or boring, we are advised to ignore and move on.
Ain't seeking no convictions; and ain't knowing much about any stocks! Just keeping an open mind.

On this OANDO matter,
I hope we can all read what the AGM agenda says?? because all these Nsempa twists, I'm not understanding......
**Says those who owe the subsidiaries and would be resolved to pay back with share allotment.....
**Then this will be distributed to shareholders..... minority shareholders probably.

So, what's all these over analysis and big grammar twists all about?
Una don start again o.
If you don't understand, wait till AGM date for clarification, make una no come confuse person with paralysis here. 😁
Even, you too, you are not very sure of what it is exactly. Hence, it is good we keep an open mind and listen to as many plausible explanations or possibilities as possible. It will help all of us at the end of the day.
We cannot just close the topic when we do not know what it is exactly.
Oando seems to taking some far reaching actions to turn a new leaf; those actions will be subjected to analysis, whether we like it or not.
We all go survive the paralysis like we did when Oando was selling at N5

The receivable is the power plant which Oando share of ownership has a carrying value of 193billion and they are due to receive a buyout in 2025, hence the timing for this resolution. It has nothing to do with NNPC.
1. Is N193billion the total value of the power plant or it is only Oando's share?
2. What was NAOC ownership share in the power plant (recall Oando acquired NAOC 100%)
3. Who is proposing to buyout the plant from Oando?
4. What is the annual revenues and net profits accruing to the power plant's operations?

Oando should be careful not to strip and sell off its assets cheaply again like it did with the filling stations.

Quite insightful, thanks. Does the closure of register affect any of the resolutions? Or would it be the resolution date of 17/12 for qualification?
If the Oando resolutions are passed on Dec 17, they would only apply to members whose names appear in the register as at commencement of business on 27 Nov 2024, (which is co-terminus with close of business on date of the publication 26 Nov 2024). This effectively ensures that the publication does not have any serious or prolonged effect on price movement on the floor.

Is it owing Oando? grin
Yes, NNPCL owes Oando.

NNPCL owes NAOC.
NAOC is now a subsidiary of Oando, and NNPCL itself is also a related party (joint venture partner) to Oando.

They want to consolidate all the inter-co receivables into the parent company, but that will also eliminate some inter-co payables as well.

I think the catch now is to know the entities being referred to in that notice and one would be able to decide if it would be worth it.

In any case, you can be sure that this uncertainty in itself would drive SP up coupled with the Q3 that is rumored to be released before the AGM.
The newly acquired NAOC is one of the subsidiaries of Oando, and it has huge Receivables due it from NNPCL which is a joint-venture partner, hence a related party to Oando.

And when it pack up, that is when you will rejoice?

Let's celebrate every little gains. At least we now have 2 refineries (FG and Private) working and many more to come.
We should rather wait and celebrate when we operate the refinery successfully for at least year, then we can mark the annual anniversaries. But not to be making merry and noises right now. It is too early to pop champagne.

Dangote has just built his refineries in less than 10 years, while FGN/NNPC has been doing TAM for almost 30 years! So what is the big deal if the PH refinery is now able to refine crude?

By the way, it is Buhari who awarded the contract for the repair and overhaul of the PH refinery and he deserves the credit, not Tinubu!

Tinubu's own project is the poorly thought-out, corruption-laded Lagos-Calabar Highway which he awarded to his cronies in Hitech!

OANDO
So, Annual General Meeting is coming up on the 17th of December, 2024

Wonder why nobody has mentioned the attached Resolution 3 under the SPECIAL BIZ.....
**Is OANDO planning bonus Issue?
OR, Debt to Equity conversion?

** Either way, it's looking more like positive action coming from the company.... Restructuring is coming!**

** Some receivables owed O&O to be converted to shares and then distribute to shareholders...... Something like Oando shareholders also becoming shareholders in those companies......some kind of additional shares to be distributed to O&O shareholders??
Accounting gurus, over to you o......and don't bother to comment if you're coming with your negative mindset. 😁

So, how would Oando distribute new shares to its existing shareholders, and then turn around to delist same shares in a short while within the same year? Na witchcraft dem want start to practice?
This could be the clearest indication that they are not delisting, if my interpretation is right.

If this works to the benefit of shareholders, then Year2025 go loud gaan!

What percentage of those who "go school" is gainfully employed. Op, instead of you to waste your money and time getting a degree from a Nigerian University, go and learn a high-in-demand tech skill. Or, even use d money play 2 odds.
Wrong advice.
School (university) degree can still be very useful even if you learn a high-in-demand tech skill.
In the long run, a good university degree could help you to be more marketable for higher posts and opportunities.
You can be going to school and still be learning the tech skills, if possible.

I would not be surprised to hear that the same refinery has collapsed and packed up in few months or days from now.

Please, let us hear word! What special thing has Tinubu done to make the refinery work?
It is the same contractors/engineers that started the work under Buhari that finished it. Tinubu knows nothing about how the refinery is now producing!
Tinubu's focus is how to rape the country using his business partners in Hitech to construct the Lagos-Calabar Highway. He has revoked several road construction projects from Julius Berger and awarded them to Hitech, his business partners

If NNPCL can get this running consistently. . Then we need to praise Tinubu govt for doing what Buhari and even GEJ and OBJ could not do all these years.

Let stylishly fold our hands and watch what will happen to Dangote's prices. Afterall, he claimed to be doing Nigerians a favor by reducing PMS to N970 few days ago.

I said it before, a monopoly will never emerge in the oil and gas sector. Esp. if Tinubu is still there as president. We are watching. .
