@ OP, so far you have been privileged to obtain some of the best responses in relation to your query. Let me add that your lawyer will play a vital role in some of the questions bothering your mind, so please get a lawyer. In the meantime, your lawyer will draft a memorandum of understanding- MOU, between you and the intending investors where all of those posers would have been agreed upon and subsequently inserted as terms. I have done that for a couple of clients and they did not have to worry about investors' "wahala". Finally, on the issue of shares structure, your lawyer would explain to you among other things that you can be a director and not be a shareholder in a company and vice versa. You can also have the opportunity of being both in the company. Usually, a share is a unit of value you hold in a company and there is usually a nominal amount attached to each unit- most companies starts with N1.00. The implication is that someone who holds 5% in your 2, 000, 000 share capital has 100, 000 shares. The nominal value of that share is (100, 000 × N1.00)- these are some of the things you will consider when sharing profit. |
@ Op Bountydog has given you the best answer. You could go to the probate registry at the Lagos High Court or at the Ikeja High Court.You would be able to process the LA yourself. You must note that if you involve a lawyer, it could Save you some stress, time and energy but not funds. It is upon this document that the shares can now be transmitted. bros, you cannot eat your rice and have it. Before the advent of the new tenancy law in Lagos, the landlord was required to give 6 months notice expiring at the anniversary of the tenancy. What that means is that your landlord would have given you 6 months notice to expire in December 2013 but under the new law, he can give you 6 months notice commencing from December 1, 2012 to May 31, 2013. If you do not hand over possession by then and he goes to court, you are likely to have an additional 2-3 months. In the light of this I strongly advice that you should commence exit strategy from the apartment. |

Hi, I really do not think he should sell the house. I assume your friend is resident in Lagos. Firstly, if you ask people in the real estate sector (including people on Nairaland), they will gladly inform you "that a buyer may not necessarily pay what you think your property is worth" I once put up a property for sale for N35m, after so much effort, it was sold for N18m. Thus,your friend's property may be sold lower and invariably he may not have enough fund for the projected new house and business. Secondly, I really do not think N10m can build a house for your friend (whether or not he has taste), except he has an undeveloped land. At least a plot of land in Ajah, Lekki Scheme 2, Abule-Egba etc ranges from N5m to N10m while a tenement/dilapidated bungalow ranges from N7m to N10 and above in Ogba axis, Agege, Surulere and other old communities in Lagos. What this means is that if you are able to sell at N30m, you would have spent about N10m on land matters and between N5m or above on construction and finishing- granted that the land is a dry land. I think he should approach a bank for a long term facility using the house as a collateral- hoping it has registered title. I know some of us don't like to hear talks like loan or facility but I bet that is a better option in this circumstance. I had to take some loan recently too even in support of services. Another option is to do a deed of partitioning, let us say the house is on a 800 square metres, you will divide the land into 2 part and create a mortgage over the portion that is bare. This option gives him less trouble- it means in the event he is unable to pay back the facility, the bank will recover the bare portion and not the whole house. On the business he can do to realize the money he would be raising using his property as a collateral, I[b] think he should consult import business Gurus on Nairaland[/b]- there is so much money in import business that people don't know. I know someone who was bankrupt as at 2002, someone introduced him to China and he began import business. As I write he has just purchased a property in GA, USA for 400k USD and another 350k GBP property in England- all cash down. He has properties all around Lagos, South West etc yet the business is still doing well. He should also look at his passion, that may well help him in developing his line of business. He could go for Mr. Biggs franchise as well. I think the franchise is about N5m to N10m. Transport business is also good but a friend told me you must be rascally and be ready to be physical otherwise drivers would reap you off. I wish him all the best. |

The first step is to register 1 (one) company, you could now start registering the other 4 (four) companies with one similar name. If the first company is AJADEK OIL LTD, the 2nd could be AJADEK INTEGRATED SERVICES LTD, the 3rd could be AJADEK HOMES NIGERIA LTD, the fourth could be AJADEK ELECTRONIC/ELECTRICAL INTERNATIONAL LTD the fifth could be AJADEK CONSTRUCTION COMPANY LTD and the list is endless. After you must have registered the fifth company, you can now apply to CAC to have all of the companies as one holding. For more explanation you could holla me at kleandenation@yahoo.ca" I posted that Message on "changing from one form of registration to another or so" I think three companies would suffice as a group/holding. The three companies would have been registered. The names could be related as in the example above or not related. The objects of the three companies do not have to be related. An application would have to be made to the RG of CAC for approval of the Group/Holding's name- The application is N5k. The Group/Holding will have a minimum of N5million share capital. The group/holding would now be registered with the three companies holding shares of the group. I guess you could find one or two facts. |
