BusinessRe: Frequently Asked Questions: A-Z Of Company Registration In Nigeria by omogidi234(m): 10:12am On Jan 06, 2011
dexed:
Are there any regulations for online bussiness in Nigeria?
Sir, my answer to your question would be a capital letter NO. You will notice I said 'my answer' because the position I hold could have changed. You will agree with me it is challenging keeping pace with Legislation in Nigeria.  You only hear of ACT passed into law or Regulations made through the MEDIA. Sometimes, you go to the Federal Government Printers and you might not get printed copy of a recently passed ACT (for example, I have been looking to buy a copy of the recently passed Local Content ACT for four months- PLEASE IF YOU HAVE COPY I DON'T MIND). Now, before posting this comment, I tried calling a colleague of mine (a Lawyer), who works as a Legislative Assistant at the National Assembly but I could not get through. What I could lay my hands on are these:

"(HB. 69) ELECTRONIC MESSAGES, INFORMATION AND COMMERCE AND ITS ADMISSIBILITY IN EVIDENCE
Sponsor(s): Hon. Jerry Ugokwe and 70 others
1st Reading: 2/3/2004
2nd Reading:
Committee(s) or Date of Referal:
Date of reported out of committee
3rd Reading & Passage:
Conference Report:
Remark: Awaiting Second Reading

HB. 154 CYBER SECURITY AND DATA PROTECTION AGENCY (ESTABLISHMENT ETC) BILL,
Sponsor(s): Hon. Etim Bassey
1st Reading: 15/1/2009
2nd Reading:
Committee(s) or Date of Referal:
Date of reported out of committee
3rd Reading & Passage:
Conference Report:
Remark: Awaiting Second Reading"

from this site : http://www.nassnig.org/nass/billspro.php?pageNum_bill=7&totalRows_bill=189

Now, I know that NITDA and some Federal Government Agencies as well as some ICT folks & legal luminary put together a Cyber Crime Bill in 2004. Even if the foregoing Bill has been passed, it only regulates or seeks to prevent online business crime in Nigeria and not neccesarily regulate online busnesses. The only option open to us is to bring an action for breach of online transactions as if they were contracted offline (i.e our traditional principles of contract). However, there is a danger in this option, our Evidence ACT which I learnt is currently being  amended does not make provisions for the admissibility of electronic generated evidence not to talk of attaching weight to such evidence. Apart from the amendment to the said Evidence ACT, the first Bill mentioned above when passed would go along way in assisting online businesses in Nigeria. Pending the time all these Bills would be passed you have to watch your back while you do online businesses in Nigeria.

Among other Legislations, I know the US and UK have the E-Sign Act and the Electronic Commerce Act respectively. It would therefore be nice to see us (Nigeria) take a cue from the US, UK and other developed countries.

I suggest you take a step towards achieving this feat.

Best regards.

You register an Incorporated Trustee also known locally as an NGO. It will accomodate all your plans. Rotary Club, Jaycee Clubs, Old Boys reunion associations are all examples of Incorporated Trustees

Cheers
I think you should let the the public know also that a Company Limited by Guarantee (LTD/GTE) can be used as NGO.

Lawyer,
I;m intending to involve in oil and gas business supply business.
do i need lincense to get registered as supplier or go ahead do the registration.
@ you need to clarify what you mean by oil & gas business. The field is well regulated. If you are talking of running or owing an oil outlet station otherwise known as filling station you would be required to obtain licence from the DPR. If you will also have dealing as an oil & gas coy or oil & gas service coy you will also need to register with DPR, that would depend on your categorization. If however, all you want to do is hire trucks, lift fuel and deliver to the end users then you only need registration as coy with CAC. The DPR guys in the house will throw more Candle (there is power outage).

Best Regards.

@Lawyer

pls is it possible to operate a business with just a registered business name. I want to kick start a travel agency immediately and the guy i contacted for the registration as a private limited company said it could take months, but that he can get the business name registered in two weeks.

is it possible and ok to just register the business name for now, start the business and over time do the incorporation.

is there any disadvantage or penalty if i do.

also i do like to have your email address for subsequent transaction and maybe your office. pls help me answer these. please
it appears lawyer has travelled. Let me answer that ? The reason why the person told u it will take months is that you will require to obtain approval in principle from the Nigerian Tourism Development Commission before the Corporate Affairs Commission can register a travel and tour private ltd company for u. whether or not u obtain the said approval , I assure you that by the expiration of the two weeks you want to register a business name, I can register a travel and tour private ltd company for u. For more u could please holla me at kleandenation@yahoo.ca

@ poster, I noticed u are more disposed favourably to those who hold the same view as urs as per ur mom being old school. me think it is a privilege to have a mom like her, most people don't have mom (either they are dead or they have abadoned their wards). forget about the approach and think about the intention.

I don't really like to appear as spoiler but I don't also like unwarranted claims.
To register 1m Share at CAC in 24 hours you will need to pay 50k to CAC known as 'one day' while you will need pay around 30k extra for stamp duty, ctc et al. Express is not possible in Lag only in Abuja so if you are in Lag, u need to fly to Abuja or pay some lawyers in Abuja between 15-20k to do it and send it thru air courier on the same day. Assuming but not conceding that one will spend between 100k-120k for 24 hours registration at CAC, how do you make profit if you charge 95k? Please don't lay claim to what is not attainable!

And what will you know?!! Right after posting my last message here, on another thread a Nigerian that I had proposed an idea to a few months back posted a message to me on another thread. This was a guy that was supposedly into real estate and claimed he could raise funds for my project. Now he even forgot what wew had met about, and here he was now telling me that his company was going to do exactly what I had proposed.

As we can see from the recent Bank scams/issues, Nigerians even to the very top are mostly thieves. They will ask you to bring projects/ideas to them for financing, only to steal those ideas/proposals. 3 Nigerians that I have presented my proposal to are all now embarking on the projects for themselves. I know they are bound to fail because they hardly know what it takes and think everything is simple. What I spent a year researching and putting together using an average of 18 hours a day, they believe they can just steal. This is why there are failed projects all over Nigeria. Clueless people with stolen funds lacking the zeal and knowledge for particular projects think they can steal and be successful. Woe unto everyone of them, and may they choke on their stolen funds.

From henceforth, I will neither share ideas with Nigerians, nor seek their funds for anything. My funding shall only be sourced from international reputable firms and financing sources. Hope this is a lesson for all of you idea people out there. Unfortunately, we do not have laws as deterrence factors to protect your intellectual properties. Nigeria has been overtaken by corporate scammers and criminals on all levels.
I just saw this post now. Please permit me to disagree with the last sentence. That one does not know about a legislation does not mean it is not there. There are various instruments to protect your ideas, business, invention etc however, the challenge we have is that registration and enforcement procedure of intellectual properties are usually cumbersome. Now, that somebody is using your idea does not mean he has not seen it somewhere else however, if your idea is protected and you have proof that you have exposed your idea to such person and he/she in turn uses an idea similar to yours, all that you need do is to bring an action against such person. Like I said earlier, it is very cumbersome but I won't agree that there are no means of protecting your intellectual properties ab initio.
BusinessRe: How Can One Register With Dpr And Nipex by omogidi234(m): 7:47am On Sep 25, 2010
It depends on whether you want to register as Oil & Gas Company or One rendering services to Oil & Gas Companies. That in itself will determine whether it is licence or permit you require. You can check http://www.dprnigeria.com for more.
