Things are going quite well with this idea, but there is still lot of work to do, and many other more to be put clearly, which I believe still and strongly depends on the meeting outcome from other zones or states. And to say that a huge deviation from the initial plan of having people with similar product interest comn together to form their own group(d deviation is a gud idea) Bt just lyk I said, it requires more planning, deliberations and not just a good foresight but also the ability and willingness to do the things at hand

Good day partners,
I have some issues to raise up, I can see we are already doing state/zone meetings. Now we have to decide what we are really doing, are we forming zonal company under one name?
To me we aren't doing something right yet, we are just separating ourselves and if it goes on like this, I bet you, this company will break down before start into splinter cells.
Its a No-No! Nothing like lagos this or abuja that!, I feel we should come under one umbrella, form a structure of operation and power, then we can form state departments , rather than this splinter cell groups we are forming now!
I bet you! Kano people may rise and one day say, these lagos people sef! Let's leave them , its not like they are doing anything for us that is special, we know how to import, or abuja boys will say, why are we with this poor dudes raising only 100k, we put in 500k and yet they don't respect us, bla bla bla bla
I guess you get me now, sure I know we can't work from a big distance, but this zoning thing should only come up after we have build our structure and should just be a means of reaching every nook and cranny of the country, it should be like we have branches everywhere.
In this way, we would not see ourselves as divided, but one! And just a member of benin branch.

Just my opinion, I spent the last 1hour since I woke up , with my pen and paper reasoning what its structure should look like and I think I have an idea which is not what we would work on but a start that is open to major modification by all of us.

One thing that matters most in these senerio is the power tree!, who has power to do this and do that, number of individuals or partners, also sharing formula, share holding, and the most important is money!

So I have thought of this structure:

Lagos is going to be our capital (if we all agree) and branches will be scattered All over the country (hopefully in time over africa and so on).

Partners are to pay amounts ranging from 50-99k , or 100-500k.
Now this is the interesting part.
50-100k pArtners will be called minor share holders , and 100-500k will be called major share holders.
After total contribution, let's say total of 20 people come together after everything (just an example)
5 people brought 50k each (minor), 5 people 100k each (major), 5 people 200k (major) , 5 people 500k (major)

Now the company has a total capital of N4.25m. This is our initial capital from where we will deduce shares.

Now every member will have a certain percentage of share allocated to him, that is who paid 50k , we will find the percentage of 50k to 4.25m and that's his share . Below are examples

%owned : 11.76% of company

Now having known that company xyz is worth 4.25m naira, let's say we do business and after a month we gained N2m (after paying all our bills) .
Then the sharing formular is by your percentage of shares.

At the end of the month:

Partner A with 1.176% shares, get 1.176% of N2m which is N23520

Partner K with 11.76% shares get N235200

Partner Z with 1.88% shares gets N37600

I believe we are following?

Now to a very interesting part that will keep the company growing.

Whatever a person makes , 50% of it is retained by the company and added to its initial capital base (N4.25m). To make it clearer, when we make N2m(after paying all necessities) in this month, N1m is retained, and added to our capital, and its just N1m that is shared among share holders. Anyhow you calculate it, its the same thing, wether we deduct it after paying individually or before paying, its simple mathematics.

now this keeps our company growing every month, with our example here, the company just grew by N1m , making it now worth N5.25m in liquid cash!

I believe the above was a good plan for partners and how the money tree goes.

Now every year will be what we will call a milestone, its only during the milestone week (a week in every year) that a minor partner can become a major partner, or one partner can terminate his indulgence, sell his shares (which will be calculated by the companies present worth, that is if the company now worths N10m, and he has 5% shares, he can sell his 500k to the company or a new individual), also once the company kicks off no more partners will be accepted, only during this mile stone week will a board meeting be called for at the headquarters where we will decide if a partner is to be accepted,also this new partner will be allocated a % of the company using the recent company worth, that is if he brings 500k when the company is worth N10, he only has 5% share, where as partner K who did so at the initial start is worth 11.76% if we recall. This ensures stability and secures the initial owners of the company from people who may just come up with very large amounts from nowhere.
This milestone week is when we will give yearly account records and all, its like the negotiation period of football.

Also if a partner sells his share to the company, the share will be shared equally among all members and he will be paid from company xyz's capital.

That is that for transfer of shares and new membership or termination.
Summary, it can only be done once in a year!,
If due to unforeseen events or misbehaviour of a partner he wants to be terminated before the contract ends, he will only be paid his initial share of the starting company amount (4.25m) instead of N10m the company's new worth.


Now I know marketers without capital will be wondering "this man no get plan for us ooo!" , you are a big part of the company please and we have plans for you.just restricted plans.

marketers will be treated as employees who will be paid on commission basis, if they sell a certain amount of goods they have a certain commission.
This will be decided by the board.
A marketer is in NO WAY a share holder, but they may find this motivating, if they sell goods up to a certain target (will be decided also), let's say N500k . The instantly are added to the shareholders with a decided percent of shares in the next milestone meeting.
Example: if marketer A sells tabs of N500k in a year, he becomes a shareholder with let's say 0.2% of shares
This means he will now me a floor shareholder and will partake in the sharing of our N2m gain, with 0.2% from the day of his addition, he is also subjected to more if he sells more! And can eventually own shares up to and not more than 5% (or can be adjusted if necessary).

Please note that all partners must be actively working! This is how the company can grow!
To ensure we don't have lazy partners who just leave all the work to marketers because they feel they are the money bags.
All partners can be marketers too! And are entitled to a half the commision of a marketer! (That is if a marketer gets 20% commission on each goods sold, a partner gets 10% for selling a good), he is also entitled to getting extra %shares if he reaches targets just like marketers.
This will make sure the hardworkers grow, and have an edge over lazy partners!

Here is where you will know our company xyz is for the sky and will benefit us all!

Recall we have 3 categories of goods to start with

Let me use my area of expertise for example.

Let's say we allocate 500k to watches, and buy them at super cheap rates, now let's say we get a particular watch for 1k, the company puts a price of 2000 on it. I can decide to carry 10 pieces and sell 3000 each! Making 30k, but will only return 20,000 to the company! Gaining 10k aside, also if I'm a partner I'm entitled to 10% of that 20k which is 2k and will be given to me immediately I deposit the 20k to the company, I have gain 12k! Aside , not talking about the returns I will gain for my shares by month end! And the target I'm also meeting that will entitle me to extra % ownership of the company!!

So you see? We are all millionaires in the making with company xyz.

Now to how products will be handled, after listing products to be bought, we will then decide on allocation, source them and get them into the country, our headquaters lagos.

This is when zoning comes in!!
Each zones will request what they want and their leader will be sent the package!, he can then give his marketers and partners who will sell them.

Note that no one has rights to any goods nor has rights to the company money!
This is said because , I may want 100 tabs in benin, and tolu wants 200 but we only have 200! Now the tabs will be given by whose buyer is more ready! And willing to pay. No one has rights to goods, if conflicts occur, we will have a set of people who will be incharge of allocation that will decide who takes and what quantity we take.

Administration and power tree

This is what will make the company never crumble! A good admin matters a lot! There have to be power checks, no one can own ultimate power.

BOARD OF DIRECTORS: this involves the leaders from each zones (they can be minor or major shareholders)

These are the leaders, and will act as representative of zones, they will be charged with duties of travelling for meetings to lagos when needed.
They also will act as the executives that can execute decisions made. They can't decide for the partners, we decide and they execute!

AQUISITION OFFICERS:
These are the people in charge of buying! They don't buy what they like, they present what they think is right, then the partners decide, the board of directors give a go ahead.
They can come from any zone, doesn't matter.

ACCOUNT OFFICERS:
These are a team of people who are in charge of the companies account, (the company acc will be open to the board of directors for checking) they must be reliable people! , and must take affidavits (infact all of us will), they are incharge of funds! And they control company accounts, they also pay out commissions and give a weekly report of activities with accounts to every member.

MARKETING MANAGERS:
These are one from every zone, they are tasked with organising marketers in their zone, and research better means of selling. It may be one of the marketers, this is the only post a marketer can occupy in the company.

CUSTOMER CARE:
These are the people who will represent our company to the general public!
They will also work with the

ALLOCATION OFFICERS:
These may be a one man team or a small group, they are in charge of sourcing goods in lagos, and sending to various parts / zones. They receive requests from zonal heads (board members), and process the request, they have power to modify requests and cancel if need be. They are in charge of goods generally! And can request a good from a dormant holder to a person with ready buyer.
They also control marketers.

DISCIPLINARY COMMITEE:
This will be made up of a few people who are not in the board, they are to checkmate all actitivities to ensure no cheating is involved.
Any complains are laid to these people who will be the ones to find a solution to problems

More can be added if you deem fit!

To powers:

No one is a decision maker! For a decision to be made, zonal meetings are done, then zonal heads set up a board meeting, disciplinary committee is watching to make sure nothing is wrong.

The fact that you are the highest share holder doesn't make any difference in power! It only does in the money tree!

Also marketers have ZERO power till they meet targets and become shareholders even if its 0.0008% it doesn't matter. That's when they have power and rights to assume any post.
