But can one still start with an S-Corp which is an LLC and later convert to C-Corp when looking towards expanding and seeking funding from venture capitalists.

LLC is all you need to protect your s assets. Once you start going Corp, your enter A WHOLE lot of caveats and requirements that will require you to pay a VERY good full time accountant. Unless you are a huge company, not worth it m

Yes I’m an introvert, the problem is just adjusting to the way of life.
For instance anytime I go into McDonald’s I just request for combo grin, beef burger, potato fries and soda. When they suggest anything else I simply say yes or no...I just don’t have an idea huh. I be correct village man.
If I go to restaurants with my colleagues I wait for them to make their orders then follow theirs smiley or just look at the various pictures in the menu and point.

Will the salary earned by founder/shareholder of a C-Corp be taxed just like is being taxed on S-Corp founder/shareholder's salary.

While C corporations pay corporate taxes to the IRS, S corporations don’t have any entity tax — rather, taxes are paid via individual returns. “An S corp does not have a legal responsibility to pay taxes on its own — the owners of the company pay taxes on their income,” explains Scott Greenberg, senior analyst with the Tax Foundation, an independent Washington, DC think tank.

s-corp. vs. c-corp
The 2018 tax law was beneficial to both types of companies. Tax rates for C corporations were slashed from 35 percent down to 21 percent. (Their dividends are taxed again at the individual level, with a top rate of 23.8 percent, resulting in a top effective rate of 39.8 percent, but the timing of those dividends is at the company’s control. More on that in a moment.) S corporation owners may benefit from a 20 percent deduction of pass-through income, reducing their effective tax rates from 37 percent to 29.6 percent (subject to certain income, wage, and property limitations).

Rarely are there one-size-fits-all answers during tax season, and that is certainly true when comparing these two types of incorporation. But understanding the three major areas of difference between the two — ownership restrictions, shareholder rights, and taxation — can help. What’s best for your business depends entirely on company structure and growth plans. Here’s a breakdown.

Ownership differences
“C corporations have no restrictions on ownership — they can have an unlimited number of shareholders— while S corporations can only have up to 100 shareholders,” explains Andrew Oswalt, CPA and tax analyst for TaxAct.

S corporations must also be domestic (the company and its owners must live in the United States), with shares held by individuals, estates, or certain trusts (not other companies). And there can only be one class of stock (so you can’t issue preferred shares as well as common ones, for example.)

“Let’s say you have a tech startup and you’re hoping that the company is going to grow and go public,” says Barbara Weltman, author of JK Lasser’s Small Business Taxes 2018. “It might make sense to be a C corp, because of what you’ll be looking to do in the future, like equity crowdfunding, or looking beyond that, going public.”

Shareholder rights differences
Because C corps can issue common stock and preferred stock, it’s possible for some shareholder votes to matter more than others, Oswalt explains. The fact that S corps can only have one class of stock and one kind of shareholder levels the playing field.

Taxation differences
You may have heard that C corps are subject to “double taxation,” which means the company pays a corporate tax, and then the owners of the company are also taxed on the income they make from the company. “This is the downside of C corps,” Weltman says. “But in 2018, the 21 percent rate is going to be a boon to a lot of people. That’s a flat rate, so the mom and pop dry cleaner on the corner is paying the same rate as would Amazon and every other Fortune 500 company.”

Simultaneously, C corps have other tax benefits that S corps don’t share, Greenberg explains. “An S corp shareholder will pay taxes in the year their money is earned, but a C corp shareholder will only pay taxes on their business income when the business distributes dividends or when shareholders realize a capital gain, so there can be flexibility on when you pay your taxes, and when you get paid.”

What it comes down to is this…
Small businesses may want to be an S corporation, especially if the only owners are domestic individuals. But if you really plan on growing the business over time and adding shareholders, a C corporation may be the best choice.

If you don’t plan on paying yourself a dividend for a long time — years not months — a C corp may be the better choice because you’ll only be taxed at the 21 percent level until then. “You don’t get taxed at the individual rate until a dividend is paid,” Oswalt says. “And who knows, ten years from now, the individual rate could be even lower… or higher, depending on who’s in control in DC.”

Still unsure which direction to go? Here’s a quick checklist of the pros and cons:
Both S and C corps have limited liability.
Both S and C corps have perpetual existence – if the owner/shareholder passes away, the corporation continues to exist.
C corps have no shareholder limit, while S corps have limited ownership options (including the fact that S corps cannot be owned by individuals living outside the US).

When we are talking about paying bills to raise your credit score we are not talking all bills. Usually, bills like utility bills are not reported unless you are delinquent.

A recent survey from TransUnion asked consumers about a few common bills and whether or not they're regularly reported to the major credit reporting agencies. Generally, things like rent payments and utility bills aren't reported to credit bureaus, so you don't get "good credit" for making those payments on time. However, if one of those bills is overdue, it might end up hurting your credit, if the company you owe sends the bill to a debt collector.

If you thought paying your rent or electric bills on time helped your credit standing, you're not alone: 48% of those who responded to TransUnion Interactive's online survey said they thought rent payments were regularly reported to credit bureaus. Even more confusion surrounded other bills: 53% thought cable and internet payments are regularly reported, 54% thought their utility payments are reported, and 52% thought credit bureaus had record of their cellphone payments. That's not the case.

At the same time, if you fail to pay those bills, your credit score may be in jeopardy. Collection accounts have a negative impact on your credit standing, and even after you pay the debt, your credit will continue to suffer. The damage will be short-lived if the collection account is an outlier on your credit report, but multiple debts in collection will really hurt your score, and making on-time cellphone bill payments won't directly improve your credit standing. Unfortunately, you don't benefit from doing the right thing, but if you screw up, you're in trouble.


The TransUnion data is based on a survey of 1,001 U.S. consumers ages 18 through 64 who rent their current living unit. Even though the respondents are exclusively renters, it's surprising that only 29% knew mortgage payments are regularly reported to credit bureaus and, as a result, have a significant impact on credit scores.

Paying rent on time may not be your path to a high credit score (though it's a data point the credit scoring industry is looking at as a potential risk indicator), but it's still an important priority, so you avoid late fees and dealing with debt collectors.

Its obvious operate on debt. Even when one has 20k in the account, he/she won't be eligle for a credit card. Can one whose source of income is business have millions in his/her account be eligble to have a credit card with a good credit at the same.

I'm telling you something changed in your credit and it was you time with them and not your savings. Agree to disagree. Boa is more likely to give you one for the first time if you've banked with them for a while. It's not the amount but not having overdrafts they look at.

If you opened a BOA savings and put 20k I'm it for a year, they are not giving you a card. If however you have 1k in savings, have a checking that you use for a year without any returned check or overdraft fees, they'll give you one.

It's not for getting a job in most cases unless your job is in a financial or high security area. It's a measure of how trustworthy you are.

It's for getting credit cards, getting a cellphone plan, electricity, renting an apartment, buying a car, house, furniture (or really any large purchases you can't afford in cash). So pretty much unless you makea lot of money and can afford to pay for everything in cash, you need a decent credit score.

If your total credit limits on everything you have is $2,000 you need to stay below $600 usage or they consider your as overextended and it actually hurts your credit score.

if I got you correctly, one has to use less than 30% of the credit limit given. Please list out the uses of this credit score. Someone said is used for getting a banking job, what are their other uses.

No, to build credit you have to use it while staying below 30% if all your available credit and making on-time payments. People are willing to give unsecured credit cards if you have no credit history and from there, simply finance a car as well, make payments on time
on all that for six months and 750. Be aware that once you get the score, you have to maintain it and closing out and paying off a good credit line will actually lower your score.

Like I said credit history is very important, length of history also matters. You can still get denied even with high credit score if you don’t have a enough credit history. Build your credit but also your savings as well. I got my first credit card ( unsecured by the way) by having money in my saving account. I kept applying and they rejected multiplyed times and then one day they finally approved me. Some things help your credit more than others like paying off a credit card helped my credit better than paying off my car early.

Yea, you're right. I believe is less competitive in Nigeria but with the emergence of ecomerce store like jumia,
foreign influence played a big role in establishing the company. From workforce to funding, I really doubt if a company like jumia got their startup funding from a Nigerian bank. We all know the beaurocracy and the corrupt process of accessing a startup loan even with a collateral not talk of the epileptic power supply in the country.
All these deficiencies and more makes Nigeria unfavourable for startup to operate.

US households now owe $13.15 trillion in total debt, about $931 billion of it card debt, according to NerdWallet’s 2017 American Household Credit Card Debt Study along with its newly issued quarterly figures.
The average household card debt is close to $16,000. That comes with hefty interest bills.
“Credit card debt is one of the most expensive types of debt, and consumers who carry it pay an average of $1,292 per year in interest on it, assuming an average annual percentage rate of 18.76 percent,” the 2017 report said.
But since last year, the average household card interest bill has increased, NerdWallet said. It is now more than $1,300 a year because of the recent Federal Reserve interest rate hike. And another hike is expected this year.
The Fed also said more Americans have been carrying card debt over the past few years.
In its latest Survey of Consumer Finances, The Fed said households with card debt from month to month has increased to 43.9 percent from 38.1 percent at the end of 2013.
The average credit card household debt is approaching the historic high of just over $1 trillion set before the last recession, NerdWallet said, noting it could reach it next year. That is unfortunate, Palmer said.
“Turning to credit card debt is one of the worst options when you’re trying to manage money,” she said.
Why are Americans charging more?
“About 2 in 5 Americans who have ever had credit card debt (41 percent) reported that spending more than they could afford on unnecessary purchases contributed” to the problem, the 2017 study said. The next biggest use is paying medical bills.
The increased use of cards is widespread. NerdWallet said the potential abuse of card debt affects both independent contractors as well as employees, the rich as well as those with modest incomes.
“We don’t see this problem as much since we primarily deal with high net worth individuals, but we do see it. Very often clients will say, ‘Oh, I have $35,000 in credit card debt at 9 to 18 percent,’ ” said Robert Karn, a certified financial planner in Farmington, Conn. “I immediately ask why.”
He said consumers need a plan to prevent excessive debt.
Just as credit card companies aggressively market products to the average American, so the average American must have an aggressive plan to escape card debt, advisers say.
“People struggle to get out of debt because they don’t have a wise and coherent strategy to pay down debt,” said adviser Garrett Gunderson, founder of Wealth Factory in Salt Lake City.
He advocates restructuring loans by “rolling short-term high-interest into long-term low-interest loans.”
Karn said clients in card hell must track spending.
“I tell clients,” he added, “you’re paying 9 to 18 percent on these cards and the bank is only paying you 1 percent on your savings. We must do something about this.”
For those who fail to take card debt seriously, Karn warned, there will be pain.

“There’s no way to get around it,” Karn added. “You must have spending discipline.”

So, as I stated earlier, the reason I put my resignation at my CNA job was that I heard UPS (united parcel services) has a cool program where they cover your tuition fees in exchange for you working for them, the program is called "earn & learn". I filled out the application, online, the hiring process was identical to the one I went through at Amazon. I got the job.

The UPS facility I work at is called CACH which stands for Chicago Area Consolidation Hub. Its HUGE, for comparison, it's much bigger than MMA1 & MMA2 put together. My Credit History has really opened a lot of doors for me.

Currently My Credit Score is in the upper 700's

I remember getting my first ever credit card from Bank of America.

First one was a Cash Rewards Card for earning Cash Back & the second one was a Travel Rewards Card for earning Miles.

Both initially came with a $1000 . After using both cards for a year, I walked into the Bank and demanded to speak with a credit card specialist.

I informed her that I needed a Credit Limit increase on my cards since it has been over a year since I got them.

She then asked me how much limit I wanted and I said at least $5000 each on both cards.

She told me that she would have to call Corporate Office and My Credit History will be pulled.

She put the call through and it came back approved.

My lifestyle is way too laid back to be involved in politics. Also as a first generation immigrant I was too busy with regular life. I watch my children now though and I am very proud of the fact that I created a comfortable foundation for them so they can take time to pursue some of those things that I didn't have the opportunity to pursue. This is what life is all about as far as I am concerned.

I still won't get into politics when I get back to Nigeria. My ideologies and solutions will not be mainstream and will be tremendously unpopular. I think the younger generation should be given a chance. Nigeria desperately needs a Kennedy, a Bush or an Obama. A younger and educated President can do wonders especially when you couple it with a senior council of elders like Gowon, Soyinka, etc It doesn't need someone like me.

I'll be too busy anyways in my retirement with checking off my bucket list by traveling across Africa by land and other activities such as running a foundation that I am setting up to give back to the rural communities that I grew up in. I will prefer to be an unknown element, a recluse of sorts. I don't desire nor cherish the limelight.

If I can't have the ability to sit down at a joint with friends and drink beer then "What Is Life?"

Shed more light on C-Corporation and S-Corporation. From the information I got, S-Corp enjoy more tax privileges and its only open to PR/Citizens.

The country doesn't have a friendly environment to encourage startups. One has to know someone to access those business fundings.

There's investment money available in Nigeria for startups but as most things in Nigeria due to fraud, epileptic electricity, etc then you have to have a solid business plan.

I'm leveraging my retirement fund for my own businesses. Sort of putting my money where my mouth is.

One can always tone down the level of their businesses to the available funds.

I wasn't bothered enough to think too deep about it.

I think though that there's a resentment because most Nigerians specifically do very well and we thrive here like a water side yam tuber.

When I left Nigeria in 86 I have never set my eyes on a computer before and I actually came to the US to earn my commercial pilots license but once I discovered computers here then I switched majors immidiately.

Though I read on here of Nigerians washing "corpers" etc but we have a lot of Nigerians in very high places in the USA.

So my advice to folks is to keep their eyes on the ball.

I had no issues, none at all.

The most issues that I've had in my entire over 30 years here has been at the hands of African Americans. I will take a white person over most black people.
