Elai147: This is a clear case of shortchanging shareholders. The reconstruction announcement came after dividend announcement. This could have been the other way round. Also, the market is currently bearish and a reverse stock split for C&I Leasing may likely fail and the stock will return back to car park except if there is great improvement in cooperate governance and investors are attracted to the stock. Investors sentiments towards this stock are very low and the management may be trying to improve the acceptability of their company´s share by the public. This is one of the negative reasons why a coy may embark on reconstruction. Companies will always give positive reasons for doing reconstruction and there are a lot of negative reasons- detrimental to shareholders- and of course they won´t give such reasons. So it is left for the shareholders to ´shine their eyes´ and try to see if the reason is favourable to them or not. Why don´t we hear more of share buyback than share reconstruction?
The next thing you will hear will be that the company want to raise money by issuing more shares. This is the case with unity bank´s share reconstruction. Unity´s case is more confusing because they are planning to do a reconstruction which will be followed by capital raising through Right issue. They are having the highest number of share in the banking sector. Imagine the PAT they will need to generate before being able to pay dividend. Banks are currently facing a huge challenge of exceeding or even sustaining PAT made from previous year. So an alternative way they can sustain dividend payment will be to perform share reconstruction to reduce their outstanding shares which will also improve EPS and also see them raise money from the market at high prices since the market prices of their shares must have increased due to the reconstruction exercise. This will also create room for bonus shares in the future. With the high outstanding shares in the banking sector plus the new challenges they face from CBN monetary policy, we should expect more share reconstruction.

phemmie06: hmmmmmmm, if I am correct the total number of this c&i leasing is 1,882,818,912. Can we refer to this as over bloated? or what is the exxuse for the reconstruction

boofydon: Ok !How does a share price reduce if all un-bought share remains on the canter until it appreciates? Because from the rookie's viewpoint, share price becomes bearish when people willing to sell are more than those willing to buy.
So does that means the shareholders determines a share's price(If they are willing to sell a N25/share stock as at low as N10/share)?

Thanks for your response so far
Seems to me like you already answered your question.

vgirl: Abeg provide list of possible companies that could declares share reconstruction. We need to know ASAP to avoid this embarrassing pitfalls.
I cannot categorically name any stock now because I'm not a prophet grin and don't want to be 'maced'. Stocks that have unusual high number of shares outstanding when compared with that of stocks from the same sector are the ones that scare me. Note that there are different reasons why coys will embark on share reconstruction.

Born2berich: The deceit on the NSE is really worrisome. Imagine C& I leasing trying to cajole unsuspecting investors to buy their shares by declaring 4kobo dividend..Some people must have unknowingly bought this stock to enjoy from the dividend payout only to be caught by this hocus-pocus share reconstruction trap.
Are the regulatory bodies not aware of this deceit? They must have approved the reconstruction exercise before the announcement can reach the public domain. And they also know the trick the coy planned to use by releasing the reconstruction news after that of cooperate action. Sometimes when you see some magic in the NSE it makes you wonder where the NSE watchdogs are. Bribery and corruption cannot be ruled out from the NSE. grin

Born2berich: The coy that gets me worried is the noise maker. Anyways wetin i know sef. Na night school i take finish education.
Sometimes when you mention something like imminent share reconstruction for Oando or Transcorp some people go just dey shout because of selfish reasons. I don't know what is giving them the impression that the decisions of investors in NL and SMN can actually affect stock prices.

mercylicious: If u were to buy nem or aiico at the present price, which will u buy?
None. Both have a way of tying down money. Except I am buying for long term, which I will not. Too much noise for Nem. My personal opinion.

mercylicious: On ppremier breweries price increase, I asked my neighboour dt works with sabmiller and he has this to say;
Life breweries sacked all their staff in anambra some moths ago , and just this month, we started seeing new equipment being brought into their compound. We are yet to ascertain if there is a new investor. I will keep a tab on premier and life cos they are our Competitors and we don't ant to be taken unawares.
For almost a year now, I see prem brew on the stocks on bid in the stock report sent by my old broker- fsl. It seems the order has been outstanding but no supply, and as soon as there was supply, the price went up. A rumour I heard last week was dt peter obi wanted to stylishly buy the major stake in premier breweries and liquidate it/sell it as he did to general cotton mills (gcm) but that arthur eze heard it , being a major stake holder their, went and increased his stake to 51 percent. Peter was surprised and shocked when he heard it. The person dt gave me this jist has no interest in the stock mkt. I am sure sumtin is going on in premier breweries, but wether it will favoour the shareholders is what I don't know.
If the majority shareholders declare a cooy as bankrupt and sells the coy to another coy, what happens to the assets of the sold coys?
For me, the best thing to do in this NSE na to avoid stocks wey their way no pure even if they are making others rich.

Very long thing! 1 for 8 reconstruction, capital raising in the offing
SWG1: The kind of news that makes me marvel whenever i hear "invest for long term, go to bed and sleep"
#Impunity in NSE cum SEC
Dragonking: Unity share reconstruction will be 1 for 50..i really pity their shareholders.
Yeye companies. What could be the reason for the reconstruction? Are they trying to add value to an already failed stock? Are they trying to avoid delisting? Why we no dey hear share buyback for dis NSE self? Imagine a company that cannot invest in itself at a benchmark price of 50 kobo. I really pity the invest-for-long-term-go-to-bed-and-sleep investors. More share reconstruction on the way...
