Could this be tagged unseriousness with the delisting or do we expect another AGM specifically for the delisting?
I guess there will be another Oando AGM/EGM specifically for the de-listing. But that may be early next year, as the next court sitting is on 29-Nov-2023.

Thanks for this.
OANDO has released a Notice of AGM holding in Lagos on 6-Nov-2023, but is silent on the de-listing of its shares as it is not mentioned in the notice of the AGM.
What does this mean? Not to prejudice the case in court?

In June 2015, the Central Bank announced that some 41 items were “Not Valid for Foreign Exchange”, on the grounds that they could easily be produced in Nigeria rather than being imported into the country.

Some of the affected items include rice, cement, margarine, palm kernel, palm oil products, vegetable oils, meat and processed meat products, vegetables and processed vegetable products, poultry, tomatoes/tomato paste, soap and cosmetics, and clothes.

Other items include private airplanes/jets, Indian incense, tinned fish in sauce, cold rolled steel sheets, galvanised steel sheets, roofing sheets, wheelbarrows, head pans, metal boxes/containers, enamel ware, steel drums and pipes, wire mesh, steel nails, wood particle boards, and panels.

Equally affected were security and razor wire, wood particle and fiber boards and panels, wooden doors, furniture, toothpicks, glass/glassware, kitchen utensils, tableware, tiles (vitrified, ceramics), textiles, wooden fabrics, plastic/rubber products, polypropylene granules, and cellophane wrappers.

The apex bank subsequently added fertiliser and maize/corn to the list of banned items.

According to the apex bank at the time, the I&E market functions by a “willing buyer, willing seller” system, where an entity with demand for FX seeks out another entity with FX to sell at an agreed price through an authorised dealer.

Career › Re: House, I Am Confused by mikeapollo: 3:03pm On Oct 12, 2023
Saviourplease:
Good evening house.

I am in a dilemma and I need advice on what to do.

A bit of background about myself: I am a 29 years only child from a very poor background. I work for an IT firm which i joined in 2019 as a graduate trainee.

My total income is around 490k (400k from main job, 90k from a writing side gig).

My challenge:
Recently, My host have told me to look for my accommodation and I have been searching for houses. Unfortunately, the places closer to my places of work is expensive.

I work in VI and the cheapest mini flat I have seen in close vicinity is 1.2M at Ajah.

I also have have a building project I am undertaking in the village that is at roofing stage and my parents have been pressuring me to settle down as the only child.

My dilemma is this, If i go for the house at Ajah, it will eat a bulk of my savings, thereby making it impossible for me to complete the building project or even start the process of settling down.

If I go for a cheaper but farer location, I will be spending more time in traffic.

Please, how do I manage this?
My friend, look for a house around Surulere/Yaba/Ebutte Meta. Or another place in Ajah.
Most people working in Lagos are in similar shoes.

You can argue all you want, but the reality remains that currently there’s no Jewish temple in the land where the ancient temple used to stand, what we have there now is an Islamic mosque, the 3rd holiest site in Islam and as long as it remains there the Jews don’t own Jerusalem.

I’m not a Muslim by the way, I consider myself Christian.
I laugh in Spanish! You are wrong! That place houses the Praying Wall....that is the wall where the Jews go to pray. It is in the same premises of the Temple Mount, which the Muslims are now calling Al-Asqa Mosque. The place had a history hundreds and thousands of years before the Arabs started referring to it as a mosque.
Let the Arabs go and establish their government in Jerusalem and let us see. The City of King David and King Solomon! Which King do the Arabs have as the King of Jerusalem in their history? Who are the Arab Kings of Jerusalem?

But when it comes to Palestine, the Jews are the aggressors and occupying forces.
So the Jews should no longer occupy their ancestral lands, including Judea and Jerusalem?

First of all I didn’t mention “palestine” in my first post.

There is no such thing as Jewish empire, it was a kingdom in ancient times often conquered by empires.

If you want to talk about history let’s talk about the original settlers in Palestine before Isaac was born. Before the Jews migrated from Egypt under Moses and Joshua when they waged a religious war against Jericho and killed men, women and children, displaced many more.

The Jews have a history of ethnic cleansing of people who lived in Palestine long before Jesus was born.

The Europeans impersonating the ancient Jews are currently using same scorched earth mentality to wipe out the people who have been living there for more than a thousand years.
Whether kingdom or empire, it's all semantics. Both boil down to territories, one ruled by a ''king'' and the other by an 'emperor''
The Jews left some place to go to Egypt! They left Judea, Jerusalem, etc. to go to Egypt!
Jerusalem had always belonged to the Jews. Now, some people are saying it belongs to them, and call it Al-Quds!

Same way they lay claim to Jerusalem, the city of King David, King Solomon etc.

Creating state of Israel was a mistake, especially when the outcome is fated to bloodshed and violence.

Neither of the sides can have peace without justice.

There's a reason why the Jewish nation ended 2000 years ago, in fact the Jewish people are now extinct. What we have in the middle east are European settlers performing ethnic cleansing just as they did in America, Canada, New Zealand and Australia.
Stop misleading people with the use of the word ''Palestine''

''Palestine'' is the original name that was used to describe the whole region, especially the coastal areas on the western side of the middle east, that includes Jordan, Israel, etc. You would even see it in some Bibles, where the word ''Palestine'' is a general term used to describe the whole area. It does not mean the Palestine of today
The word ''Palestine'' has just been adopted by the present day ''Palestinians'' who are originally from Jordan and other neigbhouring Arab countries that came to settle in Israel when the Jewish empire was conquered by the Ottoman Empire.

It is like the modern day Ghana claiming to be the owner of the old Ghana empire, because it is using the name ''Ghana''.
Don't be deceived. Ask yourself why do the Arabs only refer to history starting from 1948 when Israel was created?!
What about the place where was King David, King Solomon lived before 1948?

I'm not Muslim. Throughout Ramadan, I dey always watch Israel on Al Jazeera harassing Moslems praying in their mosque without regard for their holy month. Hamas is not Palestine and Palestine is not Hamas. So Niger and Chad should start bombing civilian targets in Northern Nigeria because of the activities of Nigerian terrorists in their domain? Israel is a bully and does not give a shite about violation of human rights. Since 1948 more Palestinian women and children have been killed than Israelis. Before Hamas' offensive last Saturday, Palestine recorded 2023 as the deadliest year for them in the hands of the Israeli government backed by UN, US and Europe. Homosexual bastards!

To me, the most foolish people supporting Israel are those fighting for sovereignty in Nigeria. Their foolishness is astounding.

The Jewish Temple had been there for centuries before the Muslims came to Jerusalem and decided to claim it as their mosque!

Please whats the difference between qualification date and closure of register?
Qualification date: means a shareholder will receive dividends if he holds the shares up to that date and does not sell them.
The shareholder will not receive dividends if he sells his shares before that date or buys the shares after that date.

Closure of Register: is usually a few days from the qualification date. It is the period during which the company does not make changes to the list/register of shareholders (i.e. new buyers/new sellers of the shares are not recognized), so that the dividends can be paid to shareholders who appeared in the register at the end of the qualification date, in order to avoid confusion and mix up in the register.

the question now is, WHEN WAS THE NOTICE TO DE-LIST ISSUED. The price of 16 Naira in September is out of that period. I believe the notice was issued and the preceding 6 months has passed and the N7.07 we kept hearing was the highest amount during the preceding 6 months.
I do not think the exit price will be the highest amount within 6 months after the case is settled or during the period case is held. It is simply the highest amount with 6 months preceding when the notice to de-list was issued.
.

Please go and read the NSE rules and procedures. Everything is explained there.
The rules say 6 months preceding the AGM/EGM at which the resolution to delist the company was issued.
An AGM/EGM must pass a resolution to delist the shares. But no AGM/EGM has been held!
So the management cannot ambush the shareholders by way of just a so-called ''notice to delist'', unilaterally issued by them.

Nothing is certain yet when it is at the level of notice to delist. .Such notice is not cast in stone and the date can be manipulated by the company to achieve parochial objectives. It is also not the key milestone according to the rules and regulations in corporate governance.
A company can issue a notice to delist and still withdraw it without any serious consequence, unlike the Court-ordered AGM/EGM which is statutory and has legal consequence

The bets I guess in the market right now are
1. The company will turn around
2. The company will tow the path of not being a going concern again and shareholders will be wiped out (the 2021 AFS noted the possibility of the company not being able to meet its debt obligations).
3. The company will go private at N7.0 or at a new higher price.

Also it is worth to note a major shareholder exited in Nov 2021 with nearly a 5th of OANDO shares at N6. Perhaps the delisting pressure originally was triggered by this shareholder. Perhaps not.
https://doclib.ngxgroup.com/Financial_NewsDocs/131_OANDO_PLC_-.pdf

The Audited 2022 AFS was due since end of Aug 2023
https://doclib.ngxgroup.com/Financial_NewsDocs/37413_OANDO_PLC%20OANDO_PLC__CORPORATE_ACTIONS_JANUARY_2023pd.pdf
Thanks for your perspective.

I am also suspecting that Oando management is deliberately trying to curtail its share price from rising too high, as that could mean paying huge sums to shareholders as exit price. The share price was nearing N20 a few weeks back and then they released their FY2021 results that brought the price down to N8.
Investment › Re: Nigerian Stock Exchange Market Pick Alerts by mikeapollo:
NGX RULES ON DE-LISTING OF SHARES, AND HOW IT AFFECTS OANDO

As per Oando and its de-listing, I did a few checks to find out the NSE/NGX rules and procedures that guide the de-listing of equity securities.
The rules may help investors appreciate the situation better, and possibly inform further investment decisions.

Some of the main points are as follow:

1. the Board of Directors (BOD) of the company (Oando) would pass a resolution to delist
2.. the company (Oando) would notify the NSE/NGX of the Board's recommendation to delist
3. the company (Oando) would apply to the court for necessary legal requirements for delisting its shares
4. the company would organize a Court-ordered Meeting of shareholders (AGM/EGM) to approve or reject the Scheme,
5. the company shall invite the NSE/NGX to the Court-ordered Meeting by a notice not later than 21 days before the meeting.
6. notice of the Court-ordered AGM/EGM shall be published in at least 2 national dailies.
7. the Quotations Committee of NGX shall consider the company's application to ensure the interest of minority shareholders are sufficiently protected
8. the share price at which the dissenting shareholders interest shall be bought shall not be less than the highest price at which the company's shares traded over the six (6) months immediately preceding the date on which the notice of the AGM/EGM at which the resolution to de-list the company was issued ( THIS IS THE REAL ISSUE THAT NEEDS TO BE TACKLED PROPERLY BY THE NGX and SHAREHOLDERS)
9. A company that delisted its shares cannot re-list until after 3 years.

Please Note:
Oando management have only complied with items Nos.1 to 3.
Items Nos.4 to 8 are yet to be achieved.

If the rule per Item No.8 (share price) is strictly adhered to, then Oando would have to pay every minority shareholder the highest price in the preceding 6 months before the AGM/EGM (which has not yet held).

As per the NGX rule, the 6 month period is counted prior to the exact date of the AGM/EGM. If the AGM/EGM has not held, then there is no valid 6 months to count. So Oando is being mischievous and tricky by trying to make reference to some 6 months and fixing a price of N7.07!

Hence, the higher the share price goes on the NGX, the higher the potential exit or buyout price that minority shareholders could get as per NGX rules. This is where the NGX and minority shareholders need to exert their powers. It also serves as an opportunity for speculators to see how they could still buy and make profit.

The highest price of Oando was N16 in September

This is just my personal observation and does not translate to investment advice.

You can't beat wale in this game.He is a lawyer. The 14 minority shareholders is still wale left hand in action. The only thing that will come out of all this is small adjustment in the buy out price from wale if he has decided to delist.....no agm(social gathering) can stop him and his partners.

Note:will still buy oando if I see it at #5.00
Other minority shareholder groups should also serve notice of Court action, as a pre-emptive strategy to checkmate Wale.
There has been enough time (since around March 2023) for other shareholder groups to mobilize and protect the ordinary investors, at least by ensuring that they object to the delisting. That would counter and technically put an end to the current Court action by the 14 minority shareholders, and then make Oando (or Wale and his partners) to initiate their own actions to delist, and then the ''6 months maximum price '' rule would kick in, which would make the buyout share to be N16.00 by CAMA/SEC rules, instead of N7.07

Let's wait and watch. They may have their plans.
