When it comes to CAC processes (pre incorporation, incorporation, and post incorportation) and FIRS processes regarding tax, don't argue with me. What we do in where I work is to automate government processes, so basically we are consultants to CAC and FIRS (on a certain tax). I have done real work in automating tax processes and on CAC processes than you can imagine. So when I talk on government processes and how it works, just shut up and learn. I know you are a still a student who have basic or no knowledge on how what you read works in real life. Stop imagining a company as one entity. Companies are categorized financially based on their share capital. Now a N1m share capital company can always increase its share capital through a post incorporation process called Share increase. So you don't need to have N1bn share capital to be a company. Most people who register their business through the portal lay claim of N1m share capital and most of them have little or no employee save a secretary that stays in their business location who isn't even part of the company. There is no difference between a business and a company like I said before. A business can exist either as a registered entity or unregistered entity. Seun does business but he may not have registered nairaland as a business. A company is a business entity with an RC number. Now the process of getting the RC number is called incorporation activity or registration process where you supply details of your first directors, second directors and the rest. Kimbraa, you should have noticed that you aren't talking to a kid, it's shameful how you prolonged this and kept exposing your ignorance. At last, you announced again publicly that you aren't a graduate, yet you speak authoritatively on issue you have no knowledge of. |

Once you have RC number, you are a company irrespective of the number of persons you have in your business premises. Becoming a company is very simple. The point here is that you don't even know the difference between a business and a company. They are the same but one has RC number while the other has a BN or does not have any registration identity. Secondly, I don't know about stock market but one thing I know which is certain is that not anyone can just go stock market and trade shares. For you to do that, you must be a registered entity or work through a broker. You will also attain some regulatory requirements as may be specified by the SEC. I laughed at your field of study nonsense. That's not how real life is. That is the mistake you keep making. Someone in the field is schooling your ignorance and you are there talking trash while feeding/learning from the wealth of knowledge I shared here. Selling or shares is done in the capital market, and you don't just walk into the stock market and buy shares without going through a broker and the rest. There and then you must either be a registered company or go under a law firm. The basic difference is just the choice of registration they did. I have seen some unregistered business with array of employees. Point is, even if a business is registered, if it has a certain number of employees, you can classify them according to what you are thought in business studies. What most sole proprietorship business owners do is have an agent register a business name for them without knowing it isn't registered. Business name is a pre incorporation activity, the output is a business name certificate. With a business name (BN), you are not a registered company and you pay tax to your state government as an individual (enterprise). For the sake or legality, an enterprise is a business without an RC number, perhaps a BN. What is my point: 1. Whether your business is a one room business, you can register your company and include anyone, i mean anyone as your first director, or even secretary as long as you have access to their national means of identification. Basically, anyone, including you Kimbraa, can register a business if you like operate from your bathroom or toilet, as along as you have an address, you can register your business. It is during the incorporation processes that you choose whether you are an LTD or PLC, etc. 2. People shouldn't brag because they have their business registered. Anyone can do it. Business registration is the simplest thing to do this days. Only cost 30k while Business Name registration costs N5k as subsidized by the VP until December 31st before it goes back to the normal N10k. Though you need to pay for this knowledge, I dash it to you because I noticed you are still growing. But you need to be fast, they are a lot of competition out there. Don't rush to google, get some theory and paste here. You are an Enterprise only if you choose to go for Business Name registration. This costs only 5k for now until December 31. Once you choose to register as an Enterprise, you will only have the privilege of using that name to open a current account and aid your business operation. Business Name registration comes out giving you a BN showing you are still an individual. That is when you answer an enterprise. But if you have up to 30k, you can ignore the BN registration and simply incorporate your business ones. During the post incorporation activities, you change change some of the details though it would cost you little cash. |

kimbraa:You have never registered a business with CAC or do you? Now, the company I work with automated the CAC company registration portal and I am a system analyst. I will respond to you as someone who have much insight on it as I did analysis of the portal. You can register your company either as an individual or through an agent. Agents that can access the portal must either be a lawyer, chartered accountant or a chartered secretary. As an agent registered with CAC, you have the option of registering more than one company and all mapped to you. You can register as an agent either as an individual (N3000/year) or a firm (N10,000 per year). Firms who register as an agent can give licence to three persons working with them. Let's dive into the topic. When you approach new.cac.gov.ng, you will not start your incorporation process unless you have gotten a your company name reserved (this is to avoid you using same name with a registered company), the output of a new reservation process is the availability code. So when you visit the portal, and upon registration, once you click on company incorporation/registration, the system will request for the availability code and will retrieve the details and allow you to continue the incorporation process. Now you can register your company as a manager of a sole proprietorship. The requirements is that you have a secretary and shareholders. In most cases, people registering will use their family members as shareholders and enter their details. These shareholders doesn't have to be a big person, it just have to be an individual above 18 years. I am not saying her use of CEO is right, however, I am only saying that anyone can register a company with CAC. In fact, most people seeking Visa to travel out runs to the portal to create a company, get their CAC incorporation certificate and show it as a sign that they aren't leaving the country forever. It's very simple and it takes just 48 hours. Just to add, when you register your own company as an individual using the portal, you are automatically taken/assumed to be a director. Then you will list another person as second director, then company secretary. These people can be anyone. You mustn't attain level 16 in public service to be a director of a company. |
