GDRs are typically issued in an international financial markets (such as the U.K. or U.S markets), backed by underlying shares that are issued, listed and traded in a local market (such as the Nigeria market). If a Nigerian company issued a GDR, the Underlying Shares will be held in trust by a Nigerian custodian (the "Local Custodian" : on behalf of the GDR holders. The Local Custodian will typically be a well respected local financial institution (such as First Bank Custodians).The Underlying Shares may be existing shares, already listed on the Nigerian Stock Exchange or newly created shares. The Depositary Bank will in turn convert the Underlying Shares into GDRs which may then be listed on an international exchange such as the London Stock Exchange or alternatively can trade over the counter (OTC) and sold to international investors. At the request of a GDR holder, and for a small fee, the Depositary Bank may convert the GDRs into shares and vice versa. Upon conversion, a GDR holder receives the equivalent number of shares and the GDRs representing those shares are cancelled. The Depositary Bank is also responsible for voting by proxy on behalf of GDR holders, and the shareholder register of the issuer will show the Local Custodian as the owner of the Underlying Shares. Like a lot of ppl on this forum have said stay in the US for a couple of years garner some experience and when you come to nigeria you dont necessarily have to work for anybody. You can look into freelancing i.e working as an independent consultant not sure what your specialisation is though. Start your own management consultancy outfit and that way you work as an independent consultant and you can determine what you charge your clients and you can consult for different companies and organisations thus making you more marketable. Not sure you know how much 1M Naira equivalent is in US $ about $10,000 sure you want to settle for that after that expensive MBA in the US. Nigeria is service sector especially financial is booming all you ned to do is fogure where the gap is and try to plug that gap with what you will be offering. You can look at finance, management consultancy, IT, corporate governance and if your MBA is finance oriented you can look at Risk Management especially in these burgeoning banks. Risk Management/Control is big business in Europe. The point i guess i"n trying to make you dont need to work a salary you can generate a source of income without looking at earning salaries |
@MT If you elect to to convert your GDR oldings to the underlying shares it will be exchanged for you at the rate 1GDR=50 and the shares will be quoted at the prevailing underlying share whenever you decide or elect to convert. The price quoted for the GDR is called the bid/offer price and the clearing price is usually a median between the range quoted.Holding the GDR means you are now trading in what is techincally called derivative(you can ask me what that means:-) so there will be a margin or difference between the price at which your GDR is sold or bought which represents your profit bit like buying foreign currency there is selling and buying rate. It is cheaper for you to buy the GDR if you are buying in foreign currency because of the weakness of the dollar against all major currencies dont think this will affect the local holding in nigeria. Going forward your earnings on the GDR if you elect not to convert to the underlying shares will be dollar denominated therefore you can expect a fall in your returns if you buy in pounds or euros for the simple fact the dollar is at all time low against pound and euros. |

frankiriri:That`s why i love you frankriri. Let^s go back to basics. in terms of market size and capitalization the nigerian capital market is still relatively under-performing. The total market capitalization of all the quoted companies is about $20 billion dollars compared to about $200 billion for south africa. How many of the companies have market capitalization in excess of $1 billion only one among the banks i think intercontinental so the nigerian stock market has a long way to go and that`s why its still attractive to foereign investors and the cost of trading is still relatively cheap no capital gains tax being levied yet(CGT) just to stimulate the market in terms of volume and size of deals. Secondly in any capital market system there are cycles referred to as bulls and bears and already in europe and america the current bull run analysts reckon is gone on too long its an average of 18-24 months the bull run has been going for about 4 years in europe and america so there will be a bear cycle where we expect correction of some sorts this happens so that the over-valued stocks can be come back down to a sensible level and this actually is an opportunity to buy anyway so as frankriri said its a long-term investment. can any of the pessimists on this forum give me an example of a long-term investor say 5 years and above whose investments have gone down overall in the market. This is not to say you cannot trade short term but you have to know what you are doing. Having said that there has to be proper checks and balances by the capital markets regulators to ensure that investors are not being cheated and that nobody is allowed to manipulate the market by artificially manipulating stock prices and other sharp practises. In recent memory the only instances where there have been spectacular stock market crashes was during the great depression of 1930 and 1987. This will happen when there is a cataclysmic occurence and i tell you these are few and far between. In the same vein that does not mean you shouldnt do your own due diligence by making sure your investment decisions are driven purely by the company fundamentals(educate yourself) and not by market sentiments. If a company has not been active in the last 5 years or so and then out of the blues they start declaring mind-boggling profits and results and you are tempted to invest i think you will have yourself to blame on the long-run and no one else. easimoni:Let me make an educated guess there is not going to be any technical suspension because the GDR is dollar denominated both for the foreign and the local component but the sum effect is that divdends(if you are that way inclined) will be paid in dollars so i don't think any foreign investor for example will be waiting for 3-6 months to collect a certificate as such as you can see this is biased towards foreign investors so the short answer is (you may not like this) instant dilution of shares if even if you decide to exchange your GDR`s for the underlying shares. We will know the extent of dilution by wednesday this week and pricing by 20.07.07. Having said that you can also by the same token convert your current holding into GDR in which case it will be dollar denominated and trade on the floor of the london stock exchange if you are not interested in waiting for your dollar denominated dividends. I hope the listing will put a premium on the shares on the LSE remember GTB has already got very good credit rating frrom two of the world`s top credit rating agencies so this should make it attractive to foreign investors and hedge/private equity funds. Yo can be sure if the $500m foereign component is mopped on the floor of the foreign exchange this should help drive up the share price with a residual effect on the shares listed on Nigerian Stock exchange but all these are permutations which may right or wrong but at least we havent got long to wait so you might want to hold fire for now and see how things pan out. ` I`m buying into it by the way and will hold till i know what direction the share price will be taking in the next weeks |
A Global Depositary Receipt (GDR) is typically a dollar denominated instrument issued in international financial markets through a registered depositary bank. GDRs are negotiable bank certificates, issued by the Depositary Bank and representing ownership of certain equity securities (the Underlying Shares) that are issued and tradable in a local market. These negotiable certificates represent ownership of a certain number of shares of a company and can be listed/traded independently from the Underlying Shares. The issued GDRs are exchanged with the Underlying Shares at a predetermined ratio (for example, 50 shares to 1 GDR). I think it makes more sense financially to purchase a 3-bed flat in a block of 4 flats from megamound investments(lekky county estate) in Lekki opposite Eleganza estate. They go for N12M and you only need a down-payment of 20% which is N2.4M and you take out the rest in mortgage over a tenure of 10-20 years which means your mortgage is less than the rents you have quoted for similar properties And some of the units are build-ready |

@frankriri I think this is a kool idea. As for the modalities i think after you have come to an agreement with your counterpart i suppose you would need your stockbrokers to conclude the transaction as long as you have identified your counterpart you are dealing with and in possesion of the transfer details so you will need to instruct your broker accordingly. Nimshi:@Nimshi seems you are knowlwedgeable about biofuels etc. I have been looking into ethanol for nigeria in areas where the raw materials especially sugar cane and sorghum and so on are abundant. What do u think the prospects are and the feasibility? I know university of nigeria nsukka have done a research using cassava starch for ethanol and i think they are looking for investors so from a technical and commercial point of view what do u think the prospects are. Fish processing venture I have read a lot about fish farming et al and one thing that keeps jumping at me is that what happens to the fish that is being produced. I dont believe that all the fish we are producing in nigeria are being consumed at surce so how about processing facilities that transform the fish we produce into something more attractive for exporters and secondary consumers alike. I mean things like fish-oil,fish cake, food additives.Fish is very rich protein the by-products are so much attractive to other industrial sectors especially pharmaceuticals and food processing. From my little research a lot of our primary produce are being wasted because we dont have adequate storage and processing facilities for wha we produce fish inclusive. So i'm interested in fish processing technology and i would like some to brain storm with some others are thinking along this direction dont mind starting another tread. I need to invest cash and i think if we do our homewrok properly this is potentially a lucrative venture. There is a lot of money to be made in the agri-business space You will not believe that there a lot of engineering fabrication outfits in nigeria that are equal to this task so sourcing the equipments should not be much of a headache. So let the contributions and discussions commence after whch will come up with something that would allow us to put forward a busines plan at least and then see how far we can push this. |

Femtex:Brazil is the biggest producer of ethanol fuel from sugarcane infact 60% of all the vehicles in Brazil run on ethanol feul and recently NNPC renewable section has entered into an agreement with Brazil to import ethanol fuel apparently there is a directive that in the next few years the petrol must have 10% ethanol so i guess this will put a lot of pressure on sugarcane production in Brazil. There are 29000 filling stations in nigeria according to reports that have been kitted out to sell ethanol fuel so its all happening so not sure what effect this will have on DSR |
N`landers I have been doing some research about some of the abundant raw materials and natural resources(excluding petroleum) we have been blesssed with in this land. I came to the conclusion that because we dont add value to these resources the people who travail to produce these material will always be at the mercy of the buyers of these primary products and hence they are able to dictate and manipulate the prices as they so desire not to talk of wastage due to lack of processing and storage capacity. Take a point in case there is an abundance of cassava in the land but how many processing plants do we have that can convert this primary product into semi-processed or processed materials? very few sadly. If we take a little bit step further and we can start thinking of investing convering cassava into cassava chips for example i see limitless possibilities here. Almost everybody is on the bandwagon of fish farming but how many fish processing plants do we have? i`m sure you can answer that question. The implications are that we have closed our eyes to the lucrative opportunities in the local and export markets. Why should we be exporting our raw materials and spend valuable foreign exchange to import these products back into the country at unfavourable currency exchange rates? Look at soya beans, gum arabic for example if we can add value to these raw materials there is a huge export market out there in Europe,Asia and America. These products are valuable input in the pharmaceutical, paint making and chemical industries to name a few. So the question is what am i driving at? While we make feeble at attempts at utilizing these raw materials by adding value from my findings i think we are only scratching the surface. Look at the raw materials and research development council website --------------> www.rmrdc.gov.ng they have done a lot of work and commissioned a lot of projects just waiting for investors who can spot the abundant opportunities in processing our raw materials. I`m particularly interested in fish processing so ideas on how to move forward with this initiative is welcome. I need to invest some of my cash, i`m into stocks and shares and properties both in nigeria and abroad but i believe we can still do more. Nigeria is blessed and its about time we started looking inwards at those things we seem to have overlooked. We are blessed as a nation and its high-time we started exploiting what we have been blessed with! I seriously believe that South Africa, Congo, Angola and Nigeria are perhaps among the most blessed countries on planet earth so why are we still ranking at the bottom of every league table as the statisticians would have us believe? Think about this and lets start a productive discussion |
