Deal: Standard Bank pays N61 billion to Mahtani Brothers for additional stake in Stanbic IBTC.

By Nairametrics - May 31, 2018

Standard Bank Group the parent company of Stanbic IBTC has announced a further acquisition of 1,141,191,943 of its Nigerian Subsidiary.

This represents an 11.35% jump in the bank’s equity taking its ownership stake in the bank to 64.4%.from 53.09%. Stanbic held about 53.02% at the end of 2016.

Meanwhile, First Century Limited, the second largest single shareholder of the company owned 7.61% of the company. Being an off-market transaction, it is likely that there was a shareholder(s) who may have sold to Standard Bank.

Scoop
Stanbic did not name who sold its stake in the transaction. However, considering the size of the transaction we have reasons to believe that it could be First Century Limited selling off their stake in the bank.
The offer price was not officially disclosed but we understand it was around N53.75 generating a massive purchase consideration of about N61.3 billion.
Rencap is thought to have handled the sell side transaction of the deal.

Who is behind First Century
First Century International is owned by the Mahtani brothers. They also own Churchgate Nigeria Limited.
It is also likely that they owned the balance 3.7% via another entity which they need not disclose because it is not up to the mandatory 5% required for public disclosure.

Recall the Mahtani brothers were thought to be the minority shareholders at the centre of the Financial reporting investigation against Stanbic in 2015.
The brothers are currently in a heated court battle with Union Bank over a $68 million allegedly borrowed and to be used to finance the so-called Nigeria’s First World Trade Centre.

Mr. Bhagwan Mahtani served as Non-Executive Director of IBTC Chartered Bank PLC. from 2005 to 2010. His brother Mr. Ratan remained as a director of the bank.

Stanbic Share price
Stanbic IBTC share price has gained about 81% in the last one year and has been one of the best performing banking stock.

It hit a year high of N50 in March 2017 coming on the back of a multi-period low of about N14 a year earlier.

Lol this had nothing to do with your last post. I have been observing your posts for a while. The language, style of presentation and analysis strikes me as that of a stockbroker/investment banker or someone who has had extensive training in investment analysis.

Just curious that is all.

Hi onegentleguy,

What is your day job? Are you a stockbroker/investment banker?

onegentleguy:

The number of commercial transactions that are now denominated in foreign easily convertible currencies, especially the US Dollar, has astronomically increased in the last decade. ...mostly due to the benefit of retaining earnings in US Dollars, as opposed to the Naira, which is the national currency in Nigeria. One of such opportunity is the benefit of quick arbitrage that comes with shorting the system with a view to making some gains from FX differential. ...and since the managers of companies are increasingly becoming smarter/wiser, they've sought some of these means in their many quest to explore several channels to increase their earnings.

Again the International Financial Reporting Standards (...I think IFRS IAS 21) requires a foreign currency transaction to be recorded, on its initial recognition, in the functional or national currency of the concerned company, applying the spot FX rate at the date of the transaction.
IFRS IAS 20 goes further to require that at the end of each reporting accounting year-end, the foreign currency monetary items are required to be converted into the functional or national currency using the closing FX rate for the currency of the transaction.

Any resulting exchange rate difference (ie the FX rate at the date of the transaction and the FX rate at the close of the transaction) whether a profit or a loss, are required to be recognized in the Accounting Books of the company at the date when they each arise. ...and where the transaction is a continuing one, IFRS requires such investment to be initially recognized under Other Comprehensive Income and reclassified to a profit or loss position on the disposal or completion of the transaction or investment.

In summary, assets and liabilities are required to be translated and booked at the FX rate, at the end of the accounting period of each transaction. ...Income and expenses are required to be translated at the FX rate existing on the dates of each of these events. And lastly, FX rate differences are recognized under Other Comprehensive Income and subsequently reclassified to the Profit and Loss Account on the disposal or completion of the FX related transaction.

Hope this helps.

Regards.

Well I’m on my way to the bank and then go hail, I’m gonna make sure they don’t do anything for one hour. I can actually move my funds to other banks and get it done, but for this particular subscription - na Gtbak go do weda dem like am or not.

Na wa. Banks are only custodians of your funds, they are not owners. Why should your bank or account officer constitute a stumbling block to whatever you want to use your funds for?

Gavrelino123:

ok,let me narrative it.....
See how i did mine.......i Went to a branch at Amadu Bello Way,Lagos by 9.30AM yesterday and requested for secondary Market, which the guy in charge told me they weren't authorized to suscribe for any customer @ the moment that i should check back......i reciprocated immediately by asking the Enquiry staff "Is it General or this Branch only" ....He replied by saying "sir i can't say more than this".......
I told him, well no problem, let me go and get full details from your head office about what you just told me....As i was about stepping out,he called me and said i should hold on...i saw the fear gripped on his face....he told me to write my instructions that whenever they are authorised that my TB will be treated, which i said no & wanted it done immediately......I told him clearly,I'm well enlightened about T.B Primary and Secondary Market, that he should stop wasting his time...that was how i was attended to...
The key is,don't approach them with a novice look, because they are well trained expert liars... don't write your instruction and leave it with them, make sure it's treated before leaving the Banks.....By the time they are familiar with you that you are well enlightened,,they won't play such pranks again even if you come another day.....!!!!

Will need to study this Free Cash Flow analysis properly. Traditionally I just look at the Statement of Cash Flow.

RabbiDoracle:

(1)Statement of cash flow tells you the cash inflows and outflows during a business year. Operational cashflow, investing cashflow and financing cashflow.

(2)FCFF tells you the cash position of the company at a point in time. It tells you the cash the company has/has not from a business activity.

(2) is got from (1).

(1) includes borrowing or repayment of loans.

(2) doesn't include borrowing or repayment of loans. It tells you what the true cash position of the company before you start paying off anything.

That is why (2) is calculated using

PAT (after you have deducted everything like staff salaries, paid suppliers, exceptional items sef, tax and added other incomes gotten during the course of the business)

D & A : Depreciation and Amortization. Any accounting provision made to cover for replacement of equipment, inventory etc

Changes in WC: the changes in the capital deployed for running the business

Capital expenditures: the purchases made to replace equipment.

Once this is highly negative, You see companies going to borrow from banks and it will appear under the "cashflow for financing activities" as could be seen in the cash flow statement.

Makers of Indomie Noodles are gradually creating a monopoly in that market. After buying off Dangote's noodle business last year, they are close to buying the noodle division of another quoted company and about to commence talks with yet another quoted company making noodles. Is Dufil Foods company quoted and if so on which board?

Dufil is quoted on NASD. Last time I checked a few weeks back it was around N9 if I'm not mistaken.

Scientists said when market is falling, the body secretes more cortisol. This brings stress and you see people moody and itchy like Toluway grin

When it is rising, the body secretes more adrenaline. Euphoria comes in and people get happy.

Events over the last few days clearly show that many of the folks on NSEMPA are yet to learn the art of controlling their emotions which is a key ingredient for success in the stick market.

The four days bear tested our resilience, tolerance, patience and depth of our investment. For those of us who did our research and invested in quality stocks it was an opportunity to load more e.g. honey well flour, dangote flour, GTB, uba etc But to those who invested purely on follow-follow basis, they lost their peace, panicked and hoping a higher power will bail them out... grin It was like their world crumbling before them... grin

Emmanuel, i owe you a lot of appreciation. After reading the book you recommended, it has helped me to change my investment style and BETTER manage my emotions...

Though critics might argue that its still early days to conclude that the bulls are around but at least market is gradually recovering and as long as one's portfolio consists of fundamentally strong stocks there is no reason to press the panic button.

Please what is the name of the book?

Sorry to digress little

There was a mistake of spelling of my name and the date of birth on my voters card. Has anyone edited his or her voters card B4? I have no other valid ID card. I'm thinking of going to INEC office to make the change Bt I'm not sure if they will do it. Anyone with an Idea?

Go to any of the INEC registration centres in your local government with the photocopy (front and back) of your voters card. Tell them you want to update your details as some of the details on your card are wrong. You will be given a form to fill and told when to check back for it. May take some time though.
