You see how firms with a lot of foreign presence as shareholders is very different if the board and majority shareholders are Nigerians. We have a way of treating ourselves without respect . Oando is there waiting to delist at N7.00 YET even without any persuasion or uproar has come out with a fairly reasonable exit price . There is a reason why some of us look at major shareholders of the company before we invest . I agree that some Major Nigerian shareholder have done well with their business but hardly let anything get to retail investors without much hullabaloo and bulaba . When you are forced to take action because of a forced takeover shouldn't be the norm . As per Oando and its de-listing, I did a few checks to find out the NSE/NGX rules and procedures that guide the de-listing of equity securities. The rules may help investors appreciate the situation better, and possibly inform further investment decisions.
Some of the main points are as follow:
1. the Board of Directors (BOD) of the company (Oando) would pass a resolution to delist 2.. the company (Oando) would notify the NSE/NGX of the Board's recommendation to delist 3. the company (Oando) would apply to the court for necessary legal requirements for delisting its shares 4. the company would organize a Court-ordered Meeting of shareholders (AGM/EGM) to approve or reject the Scheme, 5. the company shall invite the NSE/NGX to the Court-ordered Meeting by a notice not later than 21 days before the meeting. 6. notice of the Court-ordered AGM/EGM shall be published in at least 2 national dailies. 7. the Quotations Committee of NGX shall consider the company's application to ensure the interest of minority shareholders are sufficiently protected 8. the share price at which the dissenting shareholders interest shall be bought shall not be less than the highest price at which the company's shares traded over the six (6) months immediately preceding the date on which the notice of the AGM/EGM at which the resolution to de-list the company was issued ( THIS IS THE REAL ISSUE THAT NEEDS TO BE TACKLED PROPERLY BY THE NGX and SHAREHOLDERS) 9. A company that delisted its shares cannot re-list until after 3 years.
Please Note: Oando management have only complied with items Nos.1 to 3. Items Nos.4 to 8 are yet to be achieved.
If the rule per Item No.8 (share price) is strictly adhered to, then Oando would have to pay every minority shareholder the highest price in the preceding 6 months before the AGM/EGM (which has not yet held).
As per the NGX rule, the 6 month period is counted prior to the exact date of the AGM/EGM. If the AGM/EGM has not held, then there is no valid 6 months to count. So Oando is being mischievous and tricky by trying to make reference to some 6 months and fixing a price of N7.07!
Hence, the higher the share price goes on the NGX, the higher the potential exit or buyout price that minority shareholders could get as per NGX rules. This is where the NGX and minority shareholders need to exert their powers. It also serves as an opportunity for speculators to see how they could still buy and make profit.
The highest price of Oando was N16 in September

NGX Plc is part owner of NASD.
NASD used NGX software to trade on NASD in the past. THEY stopped and changed to new home made software when it was obvious that NGX does not want the growth of that market.
The market cannot be liquid because of so many factors which is not for discussion on this forum Interesting . I remember I use to be able to view NASD trades on NGX platform and something changed . If I were the NASD Chairman, I will be doing everything possible to breakaway from the NGX which has been a collosal failure under Oscar Onyema . I once had a discussion with the former MD , Bola and he had great ideas but no one ever worked . With the spate of delisting taking place in the NGX, you would expect they will migrate to NASD and considering that listing requirements are less stringent, they should be taking a lot of companies from the NGX. Some stock like ARADEL formerly NDEP , aAfriland, CSCS, FANMILK, MIXREAL ,VFDGROUP, WAMCO ,AIRLIQUID ,Nigeria Mortgage Refinance Company Plc and Purple Real Estate Income PLC deserve better visibility |

Any stock that requires you buying from NASD is broker assisted and that market is not very liquid . D o not think Duffil has traded one day on that platform . They need to sit up. That exchange ordinarily should be giving the NGX a run for its money but I really do not know what those guys are doing . Watch out for Oando's 2022 results and 2023 half year results. I foresee laughter in the mouth of Oando shareholders! Using news of April this year to push your agenda is a little bit disingenuous . How many of those buses were supplied? Has anyone seen them . Deploring two pilot vehicles is absolutely misleading and to think you are just posting this is not good for people who are looking for guidance here . It may be a faceless forum but respect to those who stay true to themselves irrespective of whether they have met someone or not. If you want to really help people, go and take pictures of these buses and the number and post it here . That is how to do due diligence . Some valid concerns have been raised too . I am not coming after you but remember there are certain people who will take your word as the gospel truth considering you are a prophet. That you bought assets at 1.5 billion does not mean they are worth that price . In addition the habit of buying non productive assets at the top of their prices does not make a good decision. You pay for mistakes like that. Imagine buying an asset for 1.5 billion and you are worth 144 million. what does that tell you? . You are suppose to be a top company with top corporate governance but you cannot produce results. You always have to do catch up and "doctor" results to woo undiscerning investors . I am not here to tell anyone what to buy but present a balance argument and always put a caveat . I take God beg you . People made money from Enron so good luck . Problem is retail investors are too docile and sheepish . They give the opportunity to decide how you want to be paid but you need a Nigerian Certificate for Capital Importation ("CCI"  which are certificates issued by banks for importation of cash (foreign currency Inflow) for investment as Equity or Loan, and also for importation of machinery and equipment for investment as Equity or Loan. This is a complex process and the Central bank will frustrate you especially if you are a retail investor . However Retail investors should be able to raise issues like this during AGM or at least go and make some noise on twitter and make sure it gets to Seplat . it's listed on the LSE and things like that can affect them but I have noticed we are more interested in twitter spaces where you "shoot your shot ". Did you see how quickly they put out a statement after the rig incidence? If it were not for LSE , you will wait forever for a statement . We have a guy who goes and tweet our weekly activities of NGX on Twitter and he drops them here but How many have followed him? If we stay together , we can achieve much . The other day , People were complaining about the way Ardova delisted . People are also scared now that when Transcorp power is unbundled, they will be delisted from the NGX . Go on twitter and make some noise about it. Copy SEC Nigeria and NGX . These companies can not come to the market and use retail investors to get a sound footing and profitability and when it is time to reap your dividends, they delist . Not Correct Ma. yMcy56: Oga Customs check well...... The result was released and dumping started down to 24.40/24.60 before it reversed mainly due to the merger news. I can remember full offer @27.20 or so, the following day, it went further down. I picked small @27, 25, and hoping to be picking down the lane.....but the news came 2 days later, then it made U-turn up.... 
Result released on 30th July... Merger news came on 1st Aug..
