I saw the above in the delisting notice. I'll appreciate insights on the literal meaning particularly on "limited by shares".
There are two types of limited liability companies in Nigeria.
Company limited by shares and company limited by guarantee.

The companies limited by shares have shareholders and are most common. They have just the word “Limited” at the end of their names in case of private companies or “Plc” in case of public companies. Note that only a Plc company can be quoted on the stock exchange.

The companies limited by guarantee do not have share capital but their owners are called guarantors. They are mostly not-for-.profit entities though they may engage in activities for profit. They are denoted by the word “Limited by Guarantee” after their names.

Entities that would have registered as limited by guarantee prefer to register as Incorporated Trustee because of difficult registration process for limited by guarantee.

vat is tax on consumption, it's until u consume u incure that tax, the state where the product is consumed the most is where they vat will be collected, it's easy... “VAT is a tax on consumption” , you said. That is exactly where the problem lies because your statement following immediately shows you don’t have full grasp of vat technicalities. You assumed consumption that is vatable to be that of final consumers alone. That is SALES TAX not VALUE ADDED TAX.

VAT as the name implies is tax on value added at each stage of production and distribution and every entities that contribute to those stages must be involved in vat process.

Let us take for example a beer produced from malted barley, wheat, maize or sorghum and vat at 7.5%.

If you buy the beer at N107.50 (I.e. N7.50 vat @ 7.5% added to N100) in Enugu, which state should the N7.50 vat go to? If your answer is Enugu state, you are talking of Sale Tax not VAT and I assure you, if it is sale tax that is applicable, the final price will be in region of N130 not N107.50 because the savings made from vat processes will not apply as I will explain below.

Now continuing with our beer example, let us assume, the beer is sold in Enugu, produced by a brewery in Abia that got its sorghum, barley, maize and wheat from Kano, sugar from Adamawa/Lagos/Kwara, bottles from Kaduna/Ogun and other inputs from abroad.

The Abia breweries will pay vat on the prices it buys these inputs (for ease, we assume all are vatable) from the producers in each state, process the inputs and fix the price it sells to distributors. The difference between the price it sells to distributors and the cost of inputs is the value it has added which is vatable. The difference between the price you buy from distributors and the price the distributors pay to the brewery is the value added by the distributors which is also vatable.

You can see the value chain from the barley producers in Kano, the sugar producers in Adamawa/Lagos, the bottles producers in Ogun/Kaduna, importers from abroad (paying vat directly to FG), the brewery in Abia and the distributors in Enugu.

In order for your VAT paid to remain at the hypothetical N7.50 stated earlier, all the producers listed in the value chain must claim back all the vat they initially paid at each stage otherwise the vat won’t be 7.5% of the final price but agregation of all all input vat paid. So each producer is required to remove vat it paid on input from the vat it charges on its output and remit the difference to tax authority (which essentially amount to tax on only the value it added to the production process)

In essence, each state must get vat on the value added to the production processes within its jurisdiction.

Now, if there are many tax authorities, which of them will verify the input vat being claimed by the producers. This will raise another legal technicalities in future. If the states eventually win this collection war, the best bet is for them to revert to Sales Tax as obtained before 1993 rather than continue with VAT.

By the way, in future, who collects vat on telephone recharge, vat on imports at ports, vat on bank charges?

Unity bank is a bit different though. Unity Bank did capital reduction to wipe off accumulated losses from its balance sheet using the share capital since it was not (and still not) making profit that can be used to write off the losses. The nominal value was not increased from 50k.

Mansard own is a sort of re-denomination to higher nominal value from 50k to N2. The book value of the total share remain the same.

After the reconstruction, the total units of your shares will be divided by 4. The cost per unit of the new share to you based on the N0.88 that you bought will now be N3.52 per share that is now having N2 as nominal value instead of former 50kobo.

The opening market price of each new share on the day that the suspension is to be lifted based on yesterday’s closing price of N0.83 will be N3.32 per new share. Thereafter, market forces will determine its trading price going forward.

It knew the Supreme Court will still give a political judgement when the appeal gets to it. Imagine the Supreme Court ruling that the case was not a dispute between the state and FG. Then what is it?

Anyway, Lagos state changed strategy by passing Hotel Occupancy and Restaurant Consumption Law which essentially impose consumption tax similar to vat and encouraged hotel owners to sue it and the FG.

In October 2019, federal high court upheld the powers of lagos state govt to impose the tax and restrained FIRS from collecting vat on hotel services in Lagos.

The Supreme Court knocked out the case on technical ground that the federal high court should be the first to decide the case rather than state vs federal dispute that goes to Supreme Court direct. The merits of the case were never considered by the Supreme Court

Oputa panel successfully concluded its assignment and submitted its report to the government of Obasanjo.
However, Obasanjo was barred by court order from taking further action because Babangida and Buhari took the matter to court.
Supreme Court later ruled that only state government can set up such commission not a federal government. The report was never officially released.

From the full report by other media, the eminent lawyer which the AGF referred to, is not the VP but Keyamo. He was comparing his position on Supreme Court judgement with Keyamo’s position and publicized view on same.

Afonja was the Aare Ona Kakanfo - Chairman Joint Chiefs of Staff. What do you mean by “he got tired of fighting”? He was appointed to that position by his Commander in Chief - The Alaafin. If he got tired, did he resign his commission?

As an Aare, he had no power to declare war on anywhere. His duty was to fight the war declared by Alaafin. So, how could he be tired of war and still remain the military leader?

ExxonMobil has a Company Treasurer and one of the recent occupants of that position that I know of, is Femi Ogunbi.
